Truth of Representations and Warranties and Compliance With Covenants. The representations and warranties of the Shareholders contained in this Agreement shall be true as of the Closing Date, with the same effect as though made on the Closing Date. The Shareholders shall have performed all obligations and complied with all covenants required by this Agreement to be performed or complied with by them prior to the Closing Date. The Shareholders shall deliver to Purchaser a certificate dated the Closing Date and signed by each of the Shareholders, certifying the truth of the representations and warranties to the best of their actual knowledge.
