Service Provider shall use commercially reasonable efforts to keep the turnover rate of Service Provider Personnel (i) to a level comparable to or better than the industry average for large, well-managed service providers performing services similar to the Services, and (ii) to no more than fifteen percent (15%) in any rolling twelve (12) month period. If DIR believes that the turnover rate of Service Provider Personnel is excessive and so notifies Service Provider, Service Provider shall within ten (10) Business Days (i) provide DIR with data concerning Service Provider's turnover rate, (ii) meet with DIR to discuss the reasons for the turnover rate, (iii) submit a proposal for reducing the turnover rate for DIR's review and approval and (iv) agree to a program for reducing the turnover rate, all at no additional cost to DIR. Notwithstanding any transfer or turnover of Service Provider Personnel, Service Provider shall remain obligated to perform the Services without degradation and in accordance with the terms of this Agreement.
Turnover Rate and Data. Supplier will use commercially reasonable efforts to keep the turnover rate of personnel performing the Services to a level comparable or better than averages for large, well-managed first tier service providers performing similar services, and in any case as necessary to comply with the applicable Service Levels. If Kraft determines that the turnover rate of Supplier Personnel is higher than that noted above or otherwise has an adverse effect on Kraft, and so notifies Supplier, Supplier shall within 30 days (i) provide Kraft with data concerning Supplier’s turnover rate, (ii) meet with Kraft to discuss the reasons for the turnover rate, and (iii) submit a proposal for reducing the turnover rate for Kraft’s review and approval. Notwithstanding any transfer or turnover of Supplier Personnel, Supplier shall remain obligated to perform the Services without degradation and in accordance with the Service Levels.

Subject to Section 5.5(b) (CONTINUITY OF KEY PERSONNEL), if Customer determines that HP-OMS' turnover rate is unacceptable and so notifies HP-OMS, HP-OMS shall within ten (10) working days (i) provide Customer with data concerning HP-OMS' turnover rate, (ii) meet with Customer to discuss the reasons for the turnover rate, and (iii) submit a proposal for reducing the turnover rate for Customer's review and approval. Notwithstanding any transfer or turnover of HP-OMS Personnel, HP-OMS shall remain obligated to perform the Services without degradation and in accordance with the Service Levels.

If Sears determines that the turnover rate of CSC Personnel is unacceptable and so notifies CSC, CSC shall within ten (10) Business Days (i) provide Sears with data concerning CSC’s turnover rate, (ii) meet with Sears to discuss the reasons for the turnover rate, and (iii) submit a proposal for reducing the turnover rate for Sears’ review and approval. Notwithstanding any transfer or turnover of CSC Personnel, CSC shall remain obligated to perform the Services without degradation and in accordance with the Service Levels and other requirements of this Agreement.
Turnover Rate and Data. Commencing in January 2006, Vendor shall report the turnover rate of Vendor Personnel on a semi-annual basis. If TXU reasonably determines that the turnover rate of Vendor Personnel is materially adversely impacting the Services and so notifies Vendor, Vendor shall, within five (5) days of the date of TXU's notice, (i) provide TXU with data concerning Vendor's turnover rate, (ii) meet with TXU to discuss the reasons for the turnover rate, and (iii) submit a proposal for reducing the turnover rate. After considering TXU's comments, to the extent appropriate Vendor shall implement such proposal as soon as practicable.

If ▇▇▇▇▇▇▇▇ determines that the turnover rate of Provider Personnel is unacceptable and so notifies Provider, Provider shall within ten (10) business days (i) provide ▇▇▇▇▇▇▇▇ with data concerning Provider's turnover rate of Provider Personnel, (ii) meet with ▇▇▇▇▇▇▇▇ to discuss the reasons for the turnover rate of Provider Personnel, and (iii) submit a proposal for reducing the turnover rate of Provider Personnel for ▇▇▇▇▇▇▇▇'▇ review and approval. Notwithstanding any transfer or turnover of Provider Personnel, Provider shall remain obligated to perform the Services without degradation and in accordance with the Service Levels. In addition, Provider shall notify ▇▇▇▇▇▇▇▇ of any turnover of Provider Personnel with roles or functions that include the categories specified in the Policy and Procedures Manual. Such notice shall be provided to ▇▇▇▇▇▇▇▇ within the timeframes specified in the Policy and Procedures Manual. Until such time as the Policy and Procedures Manual has been approved by ▇▇▇▇▇▇▇▇ in accordance with this Agreement, Provider shall provide ▇▇▇▇▇▇▇▇ with same day notice of any turnover of Provider Personnel.

Supplier shall use commercially reasonable efforts to maintain the turnover rate of Supplier Personnel at a level comparable to or better than *** for *** service providers in the applicable country performing services similar to the Services. If CoreLogic believes that the turnover rate of Supplier Personnel may be excessive (i.e., not in compliance with the requirements described above in this Section 8.5(c)) and so notifies Supplier, Supplier shall provide CoreLogic with data relating to Supplier’s turnover rate within *** (***) ***, and if such data confirms that it is excessive, Supplier shall within the following *** (***) *** (i) meet with CoreLogic to discuss the reasons for the turnover rate, and (ii) implement a program for reducing the turnover rate, all at no additional cost to CoreLogic. Notwithstanding any transfer or turnover of Supplier Personnel, Supplier shall remain obligated to perform the Services without degradation and in accordance with the Service Levels and shall be responsible for all costs related to the transition of personnel and all required training.

Vendor shall notify TXUED at least thirty (30) days prior to any planned reduction in force (including layoffs and mass terminations) and such notice shall include the number of employees to be severed and the classification and work location of each such employee. Commencing on the three (3) month anniversary of the applicable Services Agreement Commencement Date and every three (3) months thereafter, Vendor shall report the turnover rate of Vendor Personnel (i.e., the voluntary or involuntary cessation of employment with Vendor that is not part of any previously planned reduction in force) (“Turnover Rate”). If TXUED reasonably determines that the Turnover Rate of Vendor Personnel is materially adversely impacting the Services and so notifies Vendor, Vendor shall, within five (5) days of the date of TXUED’s notice, (i) provide TXUED with data concerning Vendor’s Turnover Rate, (ii) provide TXUED with an accounting of the Vendor Personnel then providing the Services at such level of detail as requested by TXUED (including indicating the length of time each of the Vendor Personnel has been performing the Services), (iii) meet with TXUED to discuss the reasons for the Turnover Rate and (iv) submit a proposal for reducing the Turnover Rate. After considering TXUED's comments, to the extent appropriate Vendor shall implement such proposal as soon as practicable.

If ABM reasonably determines that Supplier’s turnover rate is unacceptable and so notifies Supplier, Supplier shall within ten (10) business days (i) provide ABM with data concerning Supplier’s turnover rate, (ii) meet with ABM to discuss the reasons for the turnover rate, and (iii) submit a proposal for reducing the turnover rate to an acceptable level for ABM’s review and reasonable approval. Notwithstanding any transfer or turnover of Supplier Personnel, Supplier shall remain obligated to perform the Services without degradation and in accordance with the Service Levels.
