Common use of Types and Amounts Clause in Contracts

Types and Amounts. No Issuing Bank shall have any obligation to and no Issuing Bank shall (except in the case of clause (i)(c) below, in which case the applicable Issuing Bank may, in its sole discretion): (a) issue any Letter of Credit if on the date of issuance, before or after giving effect to the Letter of Credit requested hereunder, (i) the Revolving Credit Obligations at such time would exceed the Aggregate Revolving Loan Commitment at such time, (ii) the aggregate outstanding amount of the L/C Obligations would exceed the Letter of Credit Sublimit or (iii) the aggregate outstanding amount of the L/C Obligations under Letters of Credit issued by such Issuing Bank would exceed such Issuing Bank’s Letter of Credit Fronting Sublimit (as set forth on Section 2.01); or (b) issue any Letter of Credit which has an expiration date later than the date which is the earlier of (i) one (1) year after the date of issuance thereof or (ii) five (5) Business Days immediately preceding the Revolving Loan Termination Date; provided that (A) any Letter of Credit with a one-year tenor may provide for the renewal thereof for additional one-year periods (which shall in no event extend beyond the date referred to in clause (b) above) and (B) a Letter of Credit may expire up to one year beyond the Revolving Loan Termination Date so long as the Borrower cash collateralizes 105.0% of the face amount of such Letter of Credit no later than thirty (30) days prior to the Revolving Loan Termination Date.

No An Issuing Bank shall not have any obligation to issue, amend or extend, and no Issuing Bank shall (except in the case of clause (i)(c) belownot issue, in which case the applicable Issuing Bank mayamend or extend, in its sole discretion): (a) issue any Letter of Credit at any time: (i) if on the date aggregate Letter of issuanceCredit Obligations with respect to such Issuing Bank, before or after giving effect to the issuance, amendment or extension of the Letter of Credit requested hereunder, shall exceed any limit imposed by law or regulation upon such Issuing Bank; (iii) if such Issuing Bank receives written notice from the Agent at or before 11:00 a.m. (New York time) on the date of the proposed issuance, amendment or extension of such Letter of Credit that (A) immediately after giving effect to the issuance, amendment or extension of such Letter of Credit, (I) the Letter of Credit Obligations at such time would exceed $25,000,000, or (II) the Revolving Credit Obligations at such time would exceed the Aggregate Revolving Loan Commitment Commitments at such time, or (iiIII) the aggregate outstanding undrawn face amount of the L/C Obligations would exceed the Letter of Credit Sublimit Obligations denominated in Alternative Currencies, when aggregated with all other Revolving Credit Obligations denominated in Alternative Currencies, would exceed the equivalent of the Multicurrency Sublimit, or (B) one or more of the conditions precedent contained in Section 6.01 or 6.02, as applicable, would not on such date be satisfied, unless such conditions are thereafter satisfied and written notice of such satisfaction is given to such Issuing Bank by the Agent (and an Issuing Bank shall not otherwise be required to determine that, or take notice whether, the conditions precedent set forth in Section 6.01 or 6.02, as applicable, have been satisfied); (iii) the aggregate outstanding amount of the L/C Obligations under Letters of Credit issued by such Issuing Bank would exceed such Issuing Bank’s Letter of Credit Fronting Sublimit (as set forth on Section 2.01); or (b) issue any Letter of Credit which has an expiration date later than the date which is the earlier of (iA) the date one (1) year after the date of issuance thereof (without regard to any automatic renewal provisions thereof) or (iiB) five (5) the Business Days immediately Day next preceding the scheduled Revolving Loan Credit Termination Date; provided that or (Aiv) any Letter which is in a currency other than Dollars or an Alternative Currency in which such Issuing Bank is then issuing letters of Credit with a one-year tenor may provide for the renewal thereof for additional one-year periods (which shall in no event extend beyond the date referred to in clause (b) above) and (B) a Letter of Credit may expire up to one year beyond the Revolving Loan Termination Date so long as the Borrower cash collateralizes 105.0% of the face amount of such Letter of Credit no later than thirty (30) days prior to the Revolving Loan Termination Datecredit.
