Types of Confidential Information. We possess (and will continue to develop and acquire) certain confidential information (the “Confidential Information”) relating to the development and operation of WOB Taverns and Area Developers, which includes (without limitation): the System and the know-how related to its use; plans, specifications, size and physical characteristics of WOB Taverns; site selection criteria, land use and zoning techniques and criteria; methods in obtaining licensing and meeting regulatory requirements; sources, design and methods of use of equipment, furniture, forms, materials, supplies, Websites, Internet or Intranet, “business to business” or “business to customer” networks or communities and other e-commerce methods of business; marketing, advertising and promotional programs for WOB Taverns; staffing and delivery methods and techniques for personal services; the selection, testing and training of managers and other employees for WOB Taverns; methods concerning the recruitment, qualification, investigation, selection, testing and training of personnel for Taverns and Area Developers; any computer software and related passwords we make available or recommend for WOB Taverns; methods, techniques, formats, specifications, procedures, information and systems related to and knowledge of and experience in the development, operation, advertising, marketing and franchising of WOB Taverns; knowledge of specifications for and identities of and suppliers of certain products, materials, supplies, furniture, furnishings and equipment; serving methods, presentation methods, merchandising techniques and customer retention programs; recipes, formulas, preparation methods and serving techniques for food products; and knowledge of operating results and financial performance of WOB Taverns (other than those operated by you or your affiliates).
Types of Confidential Information. We possess certain unique confidential and proprietary information and trade secrets consisting of the following categories of information, methods, techniques, products, and knowledge developed by us, including but not limited to: (1) services and products offered and sold at Location Franchises; (2) knowledge of sales and profit performance of any one or more Location Franchises; (3) knowledge of sources of products sold at Location Franchises, advertising and promotional programs, and image and decor; (4) the Joint Software; (5) methods, techniques, formats, specifications, procedures, information, systems, and knowledge of, and experience in, the development, operation, and franchising of Location Franchises; (6) customer lists, records, membership agreements and/or contracts; and (7) the selection and methods of training employees. We will disclose much of the above-described information to you in advising you about site selection, providing our Initial Training, the Operations Manual, the Joint Software, and providing guidance and assistance to you under this Agreement. If you, your employees, or Owners develop any new concept, process or improvement in the operation or promotion of a The Joint® Franchise (an “Improvement”), you agree to promptly notify us and provide us with all necessary related information, without compensation. Any such Improvement shall become our sole property and we shall be the sole owner of all related patents, patent applications, and other intellectual property rights. Such Improvements shall be deemed “Confidential Information”. You and your Owners hereby assign to us any rights you or they may have or acquire in the Improvements, including the right to modify the Improvement, and waive and/or release all rights of restraint and moral rights therein and thereto. You and your Owners agree to assist us in obtaining and enforcing the intellectual property rights to any such Improvement in any and all countries and further agree to execute and provide us with all necessary documentation for obtaining and enforcing such rights. You and your Owners hereby irrevocably designate and appoint us as your and their agent and attorney-in-fact to execute and file any such documentation and to do all other lawful acts to further the prosecution and issuance of patents or other intellectual property right related to any such Improvement. Types of Confidential Information. For purposes of this Agreement, Confidential Information includes, but is not limited to, all information not generally known to the public, in spoken, printed, electronic, or any other form or medium, relating directly or indirectly to: (i) sales information such as customer information, customer lists, distributor lists, market studies, customer pipeline information, marketing information, advertising information and pricing information, and information about customer purchasing and other contacts; (ii) financial information such as revenue, costs, inventory levels, channel inventory levels, and gross and net margin information, in each case whether historical or estimated for future periods; (iii) product and technology information such as product roadmaps and other plans, strategies, know-how, trade secrets, device configurations and designs, technologies, systems, materials, sources of materials, inventions, unpublished patent applications, original works of authorship, discoveries, experimental processes, experimental results and specifications; (iv) business process information such as business practices, methods, policies, plans, publications, documents and operations; (v) commercial and corporate transaction information such as information about the existence and terms of contracts, transactions or potential transactions and relationships or potential relationships with customers, suppliers or other business partners, negotiations, pending negotiations, supplier information and vendor information; (vi) legal information such as actual or threatened claims, legal actions, investigations, and the status thereof; and (vii) personnel information such as staffing information, employee lists, compensation and benefits information, organizational reporting and related information, in each case of or relating to the Employer Group or its businesses or any existing or prospective customer, supplier, investor, or other associated third party, or of any other person or entity that has entrusted information to any member of the Employer Group in confidence.

We will disclose much of the above-described information to you in advising you about Site selection, providing our Initial Training, the Operations Manual, and providing guidance and assistance to you under this Agreement. In addition, in the course of the operation of your Franchise, you or your employees may develop ideas, concepts, methods, or techniques of improvement relating to the Franchise that you agree to disclose to us, and that we may then authorize you to use in the operation of your Franchise, and may use or authorize others to use in other ESIO franchises owned or franchised by us or our affiliates. (Any such information disclosed to or developed by you will be referred to in this Agreement as “Confidential Information”.)

We will disclose much of the above-described information to you. You or your associates may de- velop and add to the said information and it will be referred also as “Confidential.”
