Common use of UCC Reports Clause in Contracts

UCC Reports. Delivery to Lead Arranger of a UCC report of a date reasonably close to the Closing Date for each of the jurisdictions in which the UCC-1 financing statements are intended to be filed in respect of the Collateral to be in existence as of the Closing Date, confirming that upon due filing or recording (assuming such filing or recordation ot ccurred on the date of such respective reports), as the case may be, the security interests created under the Collateral Documents with respect to such Collateral will be prior to all other financing statements or other security documents wherein the security interest is perfected by filing in respect of such Collateral.

UCC Reports. Delivery to the Lead Arranger Arrangers of a UCC report of a date reasonably close to no less recent than 20 days before the Closing Restatement Date for each of the jurisdictions in which the UCC-1 financing statements and the fixture filings are intended to be filed in respect of the Collateral to be in existence as of the Closing DateCollateral, confirming showing that upon due filing or recording recordation (assuming such filing or recordation ot ccurred occurred on the date of such respective reports), as the case may be, the security interests created under the Collateral Documents Documents, with respect to such Collateral Collateral, will be prior to all other financing statements statements, future filings or other security documents wherein the security interest is perfected by filing or recording in respect of such the Collateral.
