Common use of UCC Reports Clause in Contracts

UCC Reports. The Lead Arrangers shall have received a UCC report of a date reasonably close to the Closing Date for each of the jurisdictions in which the UCC-1 financing statements are intended to be filed in respect of the Collateral attributable to the Initial Contribution or with respect to the Turbines assigned to the Initial Projects (as set forth on Exhibit G-3), showing that upon due filing (assuming such filing or recordation occurred on the date of such respective reports), the security interests created under the Collateral Documents with respect to such Collateral will be prior to all other financing statements, or other security documents wherein the security interest is perfected by filing in respect of such Collateral.
