Common use of UCL Clause in Contracts

UCL. UCLB and each of the ▇▇▇▇▇▇▇▇ Research Group and ▇▇▇▇▇▇ Research Group shall (i) use all reasonable endeavours to keep safe and secure, protected from and free from damage or destruction, and available for Orchard’s use, all original Materials which any of them hold (as at or after the Effective Date) and which are not transferred to the custody of Orchard and make the same available to Orchard upon request (save for the Patient Samples, transfer and use of which are governed by Clause 3.4.2); and (ii) not provide any Materials to any Third Party other than where permitted pursuant to and in accordance with Clause 4;
