Common use of Ultimate Control Clause in Contracts

Ultimate Control. The Company shall at all times exercise ultimate authority and control over the business of the Company, including authority and responsibility regarding the powers, duties and responsibilities vested in the Company with respect to the Centers by applicable law and regulations. Without limiting this authority, the Managers shall retain authority to approve, in advance, (a) all decisions and actions of the Company that are outside the ordinary course of the Company's business; (b) site selection for New Centers; (c) selection and replacement of the Administrator; and (d) any Budget (as defined below) or any significant modifications to any Budget.
