Common use of Unallowable Costs Defined Clause in Contracts

Unallowable Costs Defined. All costs (as defined in the Federal Acquisition Regulation, 48 C.F.R. § 31.205-47) incurred by or on behalf of Bank of America, and its present or former officers, directors, employees, shareholders, and agents in connection with: a. the matters covered by this Agreement; b. the United States’ audit(s) and civil investigation(s) of the matters covered by this Agreement; c. Bank of America’s investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) and civil and any criminal investigation(s) in connection with the matters covered by this Agreement (including attorney’s fees); d. the negotiation and performance of this Agreement; and e. the payment Bank of America makes to the United States pursuant to this Agreement, are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).

Unallowable Costs Defined. All costs (as defined in the Federal Acquisition Regulation, 48 C.F.R. § 31.205-47) incurred by or on behalf of Bank of America▇▇▇▇▇, and its present or former officers, directors, employees, shareholders, and agents in connection with: a. (1) the matters covered by this Agreement; b. (2) the United States’ audit(s) and civil investigation(s) of the matters covered by this Agreement; c. Bank of America(3) Coyne’s investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) and civil and any criminal investigation(s) in connection with the matters covered by this Agreement (including attorney’s attorneys’ fees); d. (4) the negotiation and performance of this Agreement; and; e. (5) the payment Bank of America ▇▇▇▇▇ makes to the United States pursuant to this AgreementAgreement and any payments that ▇▇▇▇▇ may make to Relator, including costs and attorneys fees, are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).

Unallowable Costs Defined. All costs (as defined in the Federal Acquisition Regulation, 48 C.F.R. § 31.205-47) , incurred by or on behalf of Bank of AmericaSettling Parties, and its their present or former officers, directors, employees, shareholders, and agents in connection with:in a. (1) the matters covered by this Agreement; b. (2) the United States’ audit(s) and civil and any criminal investigation(s) of the matters covered by this Agreement; c. Bank of America’s (3) Settling Parties’ investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) and civil and any criminal investigation(s) in connection with the matters covered by this Agreement (including attorney’s attorneys’ fees); d. (4) the negotiation and performance of this Agreement; and e. (5) the payment Bank of America makes payments that Settling Parties make to the United States pursuant to this Agreement, are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).

Bank of America’s (3) Defendants’ investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) and civil and any criminal investigation(s) in connection with the matters covered by this Agreement (including attorney’s attorneys’ fees); d. (4) the negotiation and performance of this Agreement; and e. (5) the payment Bank of America makes payments Defendants make to the United States pursuant to this Agreement, are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).

Bank of America(3) IWP’s investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) and civil and any criminal investigation(s) in connection with the matters covered by this Agreement (including attorney’s attorneys’ fees); d. (4) the negotiation and performance of this Agreement; and e. (5) the payment Bank of America IWP makes to the United States pursuant to this Agreement, are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).

All costs (as defined in the Federal Acquisition Regulation, 48 C.F.R. § 31.205-47) incurred by or on behalf of Bank the Released Entities or any of America, their present and its present or former officers, directors, employees, shareholders, and agents agents, in connection with: a. the matters covered by this Agreement; b. the United States’ audit(s) and civil investigation(s) of the matters covered by this Agreement; c. Bank of America’s the Released Entities’ investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) and civil and any criminal investigation(s) in connection with the matters covered by this Agreement (including attorney’s attorneys’ fees); d. the negotiation and performance of this Agreement; and e. the payment Bank of America Nomura makes to the United States pursuant to this Agreement, Agreement are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).

(1) the matters covered by this Agreement; b. (2) the United States’ audit(s) and civil and any criminal investigation(s) of the matters covered by this Agreement; c. Bank of America(3) Buck’s investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) and civil and any criminal investigation(s) in connection with the matters covered by this Agreement (including attorney’s attorneys’ fees); d. (4) the negotiation and performance of this Agreement; and; e. (5) the payment Bank of America Buck makes to the United States pursuant to this Agreement, are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).

Unallowable Costs Defined. All costs (as defined in the Federal Acquisition Regulation, 48 C.F.R. § 31.205-47) incurred by or on behalf of Bank of AmericaADS, and its present or former officers, directors, employees, shareholders, and agents in connection with: a. (1) the matters covered by this Agreement; b. (2) the United States’ audit(s) audits and civil investigation(s) and any criminal investigations of the matters covered by this Agreement; c. Bank of America(3) ADS’s investigation, defense, and corrective actions undertaken in response to the United States’ audit(s) audits and civil and any criminal investigation(s) investigations in connection with the matters covered by this Agreement (including attorney’s fees); d. (4) the negotiation and performance of this Agreement; andand/or e. (5) the payment Bank of America payments ADS makes to the United States pursuant to this AgreementAgreement and any payments that ADS may make to Relator, including costs and attorneys’ fees, are unallowable costs for government contracting purposes (hereinafter referred to as “Unallowable Costs”).
