Common use of Unauthorized Use or Disclosure Clause in Contracts

Unauthorized Use or Disclosure. The Receiving Party shall furnish the Disclosing Party with written notice immediately of it becoming aware of any unauthorized use or disclosure of any of the Disclosing Party’s Confidential Information by any officer, employee, assignee, licensee or Sublicensee, or potential assignee, contract service provider, and its licensee or Sublicensee, or consultant, investor or potential investor of the Receiving Party, and shall take all actions reasonably required in order to prevent any further unauthorized use or disclosure of the Disclosing Party’s Confidential Information.

The Receiving Party shall furnish the Disclosing Party with written notice immediately of after it becoming becomes aware of any unauthorized use or disclosure of any of the Disclosing Party’s 's Confidential Information by any of its Affiliate, officer, employee, consultant, financial or legal advisor, assignee, licensee or Sublicensee, or potential assignee, contract service provider, and its licensee or Sublicenseepotential assignee, or consultantlicensee, investor or potential investor of the Receiving Partycollaborator, acquirer, investor, and shall take all actions reasonably required in order to prevent any further unauthorized use or disclosure of the Disclosing Party’s 's Confidential Information.

The Receiving Party shall furnish the Disclosing Party with written notice immediately of it becoming aware and indicating details of any unauthorized use or disclosure of any of the Disclosing Party’s Confidential Information by any officer, employee, assignee, licensee or Sublicensee, or potential assignee, contract service provider, and its licensee or Sublicensee, or consultant, investor or potential investor Representatives of the Receiving Party, and shall take all actions reasonably required in order to prevent any further unauthorized use or disclosure of the Disclosing Party’s Confidential Information. Notwithstanding the foregoing, the Receiving Party remains responsible and liable for any unauthorized use by the Representatives of the Receiving Party.
