Common use of Understanding Among the Purchasers Clause in Contracts

Understanding Among the Purchasers. The determination of each Purchaser to purchase the Preferred Stock pursuant to this Agreement has been made by such Purchaser independent of any other Purchaser and independent of any statements or opinions as to the advisability of such purchase or as to the properties, business, prospects or condition (financial or otherwise) of the Company and its Subsidiaries which may have been made or given by any other Purchaser or by any agent or employee of any other Purchaser. In addition, it is acknowledged by each of the other Purchasers that Centennial has not acted as an agent of such Purchaser in connection with making its investment hereunder and that Centennial shall not be acting as an agent of such Purchaser in connection with monitoring its investment hereunder. * * * * *

The determination of each Purchaser to purchase the Preferred Stock Securities pursuant to this Agreement has been made by such Purchaser independent of any other Purchaser and independent of any statements (including any projections) or opinions as to the advisability of such purchase or as to the properties, business, prospects or condition (financial or otherwise) of the Company and its Subsidiaries which may have been made or given by any other Purchaser or by any agent or employee of any other Purchaser. In addition, it is acknowledged by each of the Purchaser that no other Purchasers that Centennial Purchaser has not acted as an agent of or in concert with such Purchaser in connection with making its investment hereunder and that Centennial shall not no other Purchaser will be acting as an agent of such Purchaser in connection with monitoring its investment hereunder. * * * * *.

The determination of each Purchaser to purchase the Series B Preferred Stock pursuant to this Agreement has been made by such Purchaser independent of any other Purchaser and independent of any statements or opinions as to the advisability of such purchase or as to the properties, business, prospects or condition (financial or otherwise) of the Company and its Subsidiaries which may have been made or given by any other Purchaser or by any agent or employee of any other Purchaser. In addition, it is acknowledged by each of the other Purchasers that Centennial no other Purchaser has not acted as an agent of such Purchaser in connection with making its investment hereunder and that Centennial no other person shall not be acting as an agent of such Purchaser in connection with monitoring its investment hereunder. * * * * *.
