Undertakes. 2.1. to introduce End Users to the provisions of the Agreement when granting them access to the Software Product; 2.2. to sign up on the Licensee's Website (the Software Product platform) once.

Undertakes. Article 7.1 Before the obligations under this contract have been completely fulfilled, Party B hereby undertakes to Party A: A. The execution and performance of this contact are complying with the laws and regulations which Party B shall abide by. The exe cution and performance of this contact are also complying with the approval documents for the establishment of Party B and the Articles of Association of Party B or Partnership Agreement and not in conflict with any other agreement to which Party A is a party; B. Party B shall provide authentic, accurate, complete financial material and other material which indicate the repayment capacity of Party A including all the opening banks, account numbers and balance of deposit etc. and coordinate with Party A for party A’s supervision and investigation; C. Party B shall inform Party A timely in case its financial condition deteriorates or it is or is likely to be involved in important litigation or arbitration, or any other matters take place which shall adversely affect the performance of its liabilities under this contract. In such cases, Party B shall secure the repayment of the loan under this contract on schedule; D. Party B shall notify Party A within 10 days in case the management mechanism changes (including but not limited to restructure of the company to a company by shares, contracting, lease, consolidation, separation, joint management, establishing joint venture or cooperative operation with foreign companies, admission to and withdrawal from a Partnership), or the business scope, registered capital and equity of Party B change. Should the above changes adversely affect the performance of its liabilities under this contract, Party B shall take effective remedies to ensure the repayment of the loan under this contract on schedule; E. Party B shall notify Party A timely the changes with regard to the articles of association or partnership agreement, business address, business scope, legal representative or principal and other important items; F. Party B shall disclose the affiliated parties relationships and transactions to Party A timely, completely and accurately. Undertakes. Article 8.1 Before the obligations of the principal debtor under the principal contract is completely fulfilled, Party B hereby undertakes to Party A: A. In case any one of following situations occurs, Party B shall still undertake its liabilities under this contract without the needing of its consent: (1) Party A and the principal debtor negotiate to modify the principal contract, which does not aggravate the liabilities of principal debtor; (2) The amount of the principal debt changes due to the flexible interest rate the principle contract adopts or the adjustment of the interest rate by the People’s Bank of China. B. Unless otherwise agreed by Party A, during the period of this contract, Party B shall ensure that pawn under this contract should not be pledged or impawned at any kind, and not be rented out, transferred to, or bestowed to any third party, and that the pawn shall not be damaged in any kind of. C. Party B shall be responsible for any fees and charges under this contract, including but not limited to the attorney fee, insurance fee, charges for appraisement, evaluation, registration, transfer of title and any other expenses. D. In case the pledge right of Party A suffers any infringement from any third parties, Party B shall notify Party A timely and coordinate with Party A to defense such infringement. E. Party B shall notify Party A timely in case any of the following situations occurs: (1) Changes of management mechanism including but not limited to restructure of the company to a company by shares, contracting, leasehold, consolidation, separation, joint management, establishing joint venture or cooperative operation with foreign companies, admission to and withdrawal from a Partnership; (2) Changes of the business scope, registered capital and equity; (3) liquidation, closing down, going out of business, disincorporation, revocation of the business license, nullifying the administrative registration; (4) Any disputes with regard to the ownership of the pawn; (5) Changes with regard to the name of the company, articles of association or partnership agreement, business address, legal representative (principal), phone no; (6) Seal-up, seizure, custody of the pawn according to the law in case the pawn is or is likely to be involved in economic disputes, litigation or arbitration. Undertakes to provide academic guidance and support to the best of their ability in relation to the scope and design of the research project, as detailed in a formal research proposal accepted by the department/school.

Undertakes all descriptors at this level, has a minimum six (6) months at this level and has the ability to perform 90 per cent of Level 1.2 descriptors.
