Undertaking to Repay. The Indemnitee hereby undertakes and agrees to repay to the Company any advances made pursuant to this Section 8, if and to the extent the Indemnitee is not entitled to be indemnified by the Company for such amounts under Sections 1, 2 or 3 of this Agreement or otherwise, or such advances were in violation of Section 15 hereof, within sixty (60) days after the receipt by Indemnitee of the written request by the Company for the Indemnitee to make repayment to the Company.
