Common use of Underwriting Fee Clause in Contracts

Underwriting Fee. In consideration of the Underwriter’s agreement to purchase the Securities from the Selling Shareholder, the Selling Shareholder agrees to pay to the Underwriter a fee equal to $3.63 per Security, or 4% of the gross offering price per Security, purchased by the Underwriter from the Selling Shareholder at the Closing Time (the “Underwriting Fee”).
