Common use of University Rules and Regulations Clause in Contracts

University Rules and Regulations. LICENSEE understands and agrees that XXXX personnel who are engaged by LICENSEE, whether as consultants, employees or otherwise, or who possess a material financial interest in LICENSEE, are subject to the XXXX rule regarding outside activities and financial interests, and the XXXX. Any term or condition of an agreement between LICENSEE and such XXXX personnel which seeks to vary or override such personnel’s obligations to the XXXX may not be enforced against such personnel, or the XXXX, without the express written consent of an individual authorized to vary or waive such obligations on behalf of the XXXX.
