UNLAWFUL EVENT. The occurrence of any event which makes it unlawful for the business of the Partnership to be carried on, whether by the Partners or the Partnership.
UNLAWFUL EVENT. The LLC shall be dissolved upon the occurrence of any event (an "Unlawful Event") that would make it unlawful for the business of the LLC to be continued; PROVIDED, HOWEVER, that if the Unlawful Event was caused by or resulted from a Member's ("Unlawful Event Member") gross negligence or intentional conduct, such event shall constitute a "Member Unlawful Event." The LLC shall be dissolved upon the occurrence of a Member Unlawful Event only upon notice (also a "Termination Notice") by the Member other than the Unlawful Event Member (also a "TO Member"), which notice must be given, if at all, within 60 days following the Member Unlawful Event. Upon receipt and delivery of the Termination Notice (the "Applicable Date"), the TO Member shall be entitled to receive a payment from the Unlawful Event Member equal in amount to the Termination Transition Fee, which fee shall be payable within thirty days after the Applicable Date.

  • Unlawful Use Using service in any manner that violates local, state or federal law, including without limitation using service to transmit any material (by e-mail or otherwise) whose transmission is unlawful under any local, state or federal law applicable to such transmission.

  • Political Event A Political Event shall mean one or more of the following acts or events by or on account of any Government Instrumentality: (a) Change in Law, only if consequences thereof cannot be dealt with under and in accordance with the provisions of Article 37 and its effect, in financial terms, exceeds the sum specified in Clause 37.1; (b) compulsory acquisition in national interest or expropriation of any Project Assets or rights of the Concessionaire or of the Contractors; (c) unlawful or unauthorised or without jurisdiction revocation of, or refusal to renew or grant without valid cause, any clearance, licence, permit, authorisation, no objection certificate, consent, approval or exemption required by the Concessionaire or any of the Contractors to perform their respective obligations under this Agreement and the Project Agreements; provided that such delay, modification, denial, refusal or revocation did not result from the Concessionaire's or any Contractor's inability or failure to comply with any condition relating to grant, maintenance or renewal of such clearance, licence, authorisation, no objection certificate, exemption, consent, approval or permit; (d) any failure or delay of a Contractor but only to the extent caused by another Political Event and which does not result in any offsetting compensation being payable to the Concessionaire by or on behalf of such Contractor; or (e) any event or circumstance of a nature analogous to any of the foregoing.

  • No Unlawful Influence The Company has not offered, or caused the Underwriters to offer, the Units to any person or entity with the intention of unlawfully influencing: (a) a customer or supplier of the Company or any affiliate of the Company to alter the customer’s or supplier’s level or type of business with the Company or such affiliate or (b) a journalist or publication to write or publish favorable information about the Company or any such affiliate.

  • Notice of Change in Control or Control Event The Company will, within 15 Business Days after any Responsible Officer has knowledge of the occurrence of any Change in Control or Control Event, give written notice of such Change in Control or Control Event to each holder of Notes unless notice in respect of such Change in Control (or the Change in Control contemplated by such Control Event) shall have been given pursuant to subparagraph (b) of this Section 8.7. If a Change in Control has occurred, such notice shall contain and constitute an offer to prepay Notes of each Series as described in subparagraph (c) of this Section 8.7 and shall be accompanied by the certificate described in subparagraph (g) of this Section 8.7.
