UPS System. Subject to Landlord's written consent and approval of all plans and specifications for the location, installation, and all other aspects thereof and compliance with all applicable laws and code in installation, operation, and maintenance, Tenant shall be permitted to install an uninterrupted power source system and emergency stand-by battery system, above ground fuel tank, and generator on the Project in a mutually acceptable location.
UPS System. Landlord agrees that Tenant, at its sole cost and expense, and subject to compliance with the provisions of this Section 10.11, shall have the right to install and operate during the term an emergency electrical generator fueled by natural gas (which is separately metered to the Premises and paid for directly by Tenant to the gas supplier) on the Property in the location shown on Exhibit G attached hereto, and to run cables and lines from the generator to the Premises using the common shafts, chases, and conduits of the Building intended for such purpose to the extent that the same may be available after meeting Landlord’s requirements for the Building, (the emergency generator and associated conduit, cables and lines (both interior and exterior) are hereinafter referred to collectively as the “UPS System”). The UPS System shall provide emergency back-up power to the Premises only, and no other party shall make use of the UPS System. {B2323618; 13} Tenant shall prepare plans and specifications for the UPS System in accordance with the requirements of Exhibit C, which plans and specifications shall be subject to review and approval by Landlord as provided in Exhibit C; provided, however, that Landlord hereby approves the specifications attached hereto as Exhibit G-1; provided further however, that notwithstanding such specifications the UPS System shall be fueled by natural gas. Upon final approval by Landlord of Tenant’s plans for the UPS System, Tenant may install the UPS System in accordance with the requirements of Exhibit C, any requirements of Landlord’s insurance carrier(s), and all other applicable provisions of this Lease including, without limitation, those of Subsection 6.2.5. Landlord shall have no obligation or make any alterations, repairs or replacements to any portion of the Building or Property in order to accommodate the installation or operation of the UPS System. During the term, Tenant, at its sole cost and expense, shall performs all repairs and maintenance required to keep the UPS System in good working order, appearance and condition, and Tenant shall promptly repair any damage to the Building or Property caused by the installation or operation of the UPS System. Tenant shall operate the UPS System in compliance with all applicable codes, laws, rules and regulations. UPS System. Tenant shall be permitted to have the exclusive use of one of the existing UPS systems in the Building.
UPS System. The entire building is equipped with fire and smoke detection systems.
UPS System. Landlord and Tenant acknowledge that there is an uninterruptible power supply unit and associated HVAC unit and equipment (collectively, the “UPS System”) located in a mechanical room within the Binney Premises. From and after the Binney Term Commencement Date, Tenant shall have the exclusive right to use the UPS System throughout the Lease Term. Tenant acknowledges that neither Landlord nor any agent of Landlord has made any representation or warranty with respect to the condition of the UPS System, or with respect to the suitability of the UPS System for the conduct of Tenant’s business under the Lease. Tenant acknowledges that it is fully familiar with the condition of the UPS System and agrees to take the same in its condition “as is” as of the Binney Term Commencement Date, and that Landlord shall have no obligation to repair, maintain or monitor the UPS System during the Binney Term, and that Landlord shall have no liability for any failure of the UPS System (or any utility or service serving the UPS) during the Term. Landlord and Tenant agree that that the UPS System is affixed to the Binney Premises, and that Landlord will own the UPS System upon the expiration of the Binney Term.
UPS System. Landlord will make available the existing uninterrupted power supply (“UPS”) system in as-is condition for Tenant’s use. Landlord makes no representation or warranty as to the condition or usability of the UPS system. At Tenant’s request at any time prior to the Commencement Date, Landlord shall remove and dispose of the UPS system.

UPS System. During its tenancy, the Existing Tenant installed and utilized two (2) uninterrupted power supply (UPS) systems (collectively, the “UPS Systems” and each, a “UPS System”) in the Building. Tenant may (until the earlier of the expiration or earlier termination of the Lease Term), at Tenant’s sole cost and expense, subject to the provisions of this Lease, use one (1) of two (2) UPS Systems for backup power when standard electricity service to the Building is interrupted; provided however that Tenant’s right to use either UPS System shall be subordinate and secondary to the rights of the “GM Group” (as defined in Section 6.18, below) and the Existing Tenant to use or remove either or both of the UPS Systems, respectively. For purposes of this Section 3.5.4, all subsequent references to the “UPS System” shall mean the UPS System, if any, ultimately utilized by Tenant in connection with this Section 3.5.
UPS System. For the continuous operation of the IT-system aa UPS-system must be provided (refer to Appendix 3). UPS System. The Tenant shall be allowed to install a UPS system (the “UPS System”) inside the Leased Premises. Upon the expiration or earlier termination of this Lease, the Tenant shall, at the Tenant's expense, remove the UPS System and repair any damage to the Leased Premises caused thereby. Tenant’s right to install the UPS System is subject to the following terms and conditions:
(a) The Tenant shall be solely responsible for all costs associated with the installation, use and maintenance of the UPS System;
(b) As of the Effective Date, there is a designated area for high density storage on each floor of the Building, which has a live load capacity of 150 pounds per square foot. The Landlord does not anticipate a need to reinforce the structure to accommodate the Tenant’s UPS System, but reserves the right to engage the Landlord’s architect and/or structural engineer for review of the UPS System specifications to ensure that the UPS System shall not adversely affect the electrical or any other system of the Building; and
(c) Upon the expiration or earlier termination of the Lease, Tenant shall repair any damage caused to the Leased Premises or to any portion of the Building resulting from the installation and/or removal of the UPS System. The terms of this Special Stipulation No. VII shall survive the expiration or earlier termination of this Lease.
