Common use of Use by Customer Clause in Contracts

Use by Customer. (a) Supplier hereby grants to Customer a non-exclusive and non-assignable, limited right for the Call-Off Agreement Period, to do any of the following: (i) access and use the Platform and Documentation for the purposes specified in this Call-Off Agreement; and (ii) copy the Supplier Material and Artefacts for distribution only to Customer’s employees who are authorised users of Platform under this Call-Off Agreement, and to such other persons as Customer and Supplier may agree in order for the Customer to conduct Projects using the Platform. (b) Customer shall not, except in the circumstances required to be permitted by applicable law, (i) copy, modify, alter, disassemble, decompile, translate or convert into human readable form, or reverse engineer, all or any part of the Platform; (ii) use the Platform, Artefacts or Supplier Material to develop any derivative works, modifications or any functionally compatible or competitive software or service; (iii) attempt to reuse Artefacts or Supplier Material for purposes outside of those contracted for the Call-Off Agreement Period; (iv) have access, use or have any rights to the object or source code of Platform, nor shall Customer attempt to obtain such object or source code; (v) Remove or make less conspicuous any copyright or other proprietary rights notices on any label of disks or other storage media containing any Supplier Material or displayed on the screen of the user during the set-up and start-up routines of the Platform. (c) Customer may not: (i) offer, for a fee or free of charge, services to any third party consisting of the processing of data through the Platform unless the same is expressly permitted in the Order Form; (ii) sell, lease, rent, license, sub-license, transfer, market, distribute, redistribute, or otherwise part with the access to the Platform, Artefacts or Supplier Material or any copies of the forgoing, in any manner or in any form not permitted by this Call-Off Agreement.

Customer shall not access, use or have any rights to the object or source code of Platform, nor shall Customer attempt to obtain such object or source code; (v) Remove or make less conspicuous any . Customer shall remove no copyright or other proprietary rights notices on any label of disks or other storage media containing any Supplier Material or Material. Customer shall ensure that Supplier’s copyright and proprietary rights notices (if any) are not disabled and remain conspicuously displayed on the screen of the user during the set-up and start-up routines of the Platform. (c) Customer may not: (i) offer, for a fee or free of charge, services to any third party consisting of the processing of data through the Platform unless the same is expressly permitted in the Order Form; (ii) sell, lease, rent, license, sub-license, transfer, market, distribute, redistribute, or otherwise part with the access to the Platform, Artefacts Platform or Supplier Material or any copies of the forgoing, in any manner or in any form not permitted by this Call-Off Agreement; and/or (iii) use the Platform for commercial time sharing, rental or service bureau use.
