Common use of Use Occupancy Clause in Contracts

Use Occupancy. (a) Tenant agrees to use and occupy the Project as a distribution facility, for any other lawful uses in connection with its business, and for other permitted related uses, all of which shall be consistent with the provisions of Section 57-1▇-▇▇▇, ▇▇ seq. of the Mississippi Code of 1972, as amended, and for no other purpose. Tenant further agrees that in the use and occupancy of the Project and in the conduct of its business therein, Tenant will comply with all requirements of all applicable laws, ordinances, orders and regulations of all governmental authorities having jurisdiction. Tenant represents that, to its best knowledge, no Hazardous Substances (as hereinafter defined) have been stored, processed or disposed of on or released or discharged (including ground water contamination) from the Property which would materially and adversely affect the value of the Project and no above or underground storage tanks exist on the Property, and except as set forth on Exhibit "D" attached hereto, no private or governmental lien or judicial or administrative notice or action related to Hazardous Substances or other environmental matters has been filed against the Property or otherwise issued to or received by Tenant with respect to the Property. Tenant will maintain at all times all the Property in material compliance with all Environmental Laws (as hereinafter defined), will handle any Hazardous Substances located, stored, used or processed at the Property in material compliance with all Environmental Laws and will not dispose of, release, discharge, handle, use, process or store any Hazardous Substances in violation of any Environmental Laws, and will promptly notify the Landlord and Trustee following receipt of any notice, action, lien or other similar action alleging either the location of any Hazardous Substances or the violation of any Environmental Laws with respect to the Property.
