Common use of Use of Affiliates Clause in Contracts

Use of Affiliates. Either Party shall have the right to exercise its rights and perform its obligations under this Agreement either itself or through any of its Affiliates. In addition, in each case where a Party’s Affiliate has an obligation pursuant to this Agreement or performs an obligation pursuant to this Agreement, (a) such Party shall cause and compel such Affiliate to perform such obligation and comply with the terms of this Agreement and (b) any breach of the terms or conditions of this Agreement by such Affiliate shall be deemed a breach by such Party of such terms or conditions, for which such Party is liable.

Use of Affiliates. Either Each Party shall have the right to may exercise its rights and or perform its obligations under this Agreement either itself personally or through any one or more of its Affiliates. In addition, in each case where a Party’s Affiliate has an obligation pursuant to this Agreement or performs an obligation pursuant to this Agreement, (a) ; provided that such Party shall cause nonetheless be primarily liable for the performance of its Affiliates and compel such Affiliate for any failure by its Affiliates to perform such obligation and comply with the terms of restrictions, limitations and obligations set forth in this Agreement and (b) any breach of the terms or conditions of this Agreement by applicable to such Affiliate shall be deemed a breach by such Party of such terms or conditions, for which such Party is liable.Party. ​

In addition, in each case where an Affiliate of a Party’s Affiliate Party has an obligation pursuant to this Agreement or performs an obligation pursuant to this Agreement, (a) such Party shall cause and compel such its Affiliate to perform such obligation and comply with the terms of this Agreement and (b) any breach of the terms or conditions of this Agreement by such Affiliate shall be deemed a breach by such Party of such terms or conditions, for which such Party is liableAgreement.
