Use of Proceeds of the Grant. Section 3.01. The Recipient shall make the proceeds of the Grant available to SPG and shall cause SPG to apply the proceeds of the Grant to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 or such other date as may from time to time be agreed between the Recipient and ADB.

Except as ADB may otherwise agree, the Recipient shall cause all items of expenditure financed out of the proceeds of the Grant to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works and consulting services Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and consulting services Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, ; and (b) Goods, Works and consulting services Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.053.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 2017 or such other date as may from time to time be agreed between the Recipient and ADB.

The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 1 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goodsthe Recipient shall procure, Works and consulting services or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 4 to this Grant the Loan Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and consulting services Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, ; and (b) Goods, Works and consulting services Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 2030 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. The Recipient shall make cause the proceeds of the Grant available to SPG and shall cause SPG to apply the proceeds of the Grant be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. The Recipient FAO shall make cause the proceeds of the Grant available to SPG and shall cause SPG to apply the proceeds of the Grant be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement. FAO shall ensure that the portion of the Grant financed from ADF resources is used for the benefit of ADF-eligible borrower DMCs listed in Attachment 1 to Schedule 5 to this Grant Agreement. Section 3.02. The Goods, Works goods and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works goods and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient FAO and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works goods and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 and Schedule 4 to this Grant Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works goods and consulting services shall be made only on account of expenditures relating to (a) Goods to goods which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time in Schedule 3 and Schedule 4 to time as eligible sources for procurementthis Grant Agreement, and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 28 February 2009 or such other date as may from time to time be agreed between the Recipient FAO and ADB.

If procurement of further Goods, Works or Consulting Services is necessary for successful implementation of the Project, those Goods, Works or Consulting Services shall be procured in accordance with the provisions of Schedule 3 to this Grant AgreementProcurement Guidelines and the Consulting Guidelines under a procurement plan approved by ADB. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services Consulting Services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and Works and consulting services Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. (b) The Recipient shall cause SPG NEA to apply the proceeds of the Grant to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be financed in accordance with the provisions of Schedule 2 3 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating to (a) Goods that are produced in and supplied from and Works and consulting services that are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services that meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.04. Except as ADB may otherwise agree, all Goods, Works and consulting services the Recipient shall procure or cause to be financed out procured items of the proceeds of the Grant shall be procured expenditure in accordance with the applicable provisions of Schedule 3 to this Grant Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works Goods and consulting services Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and consulting services Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, ; and (b) Goods, Works Goods and consulting services Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 31 July 2016 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. (a) The Recipient shall make the proceeds of the Grant available to SPG TPL under a Subsidiary Grant Agreement upon terms and conditions satisfactory to ADB. (b) The Recipient shall cause SPG to apply the proceeds of the Grant to be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goodsthe Recipient shall procure, Works and consulting services or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.04. Except as ADB may otherwise agree, the Recipient shall cause all items of expenditure financed out of the proceeds of the Grant to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works and consulting services Consulting Services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.053.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 2020 or such other date as may from time to time be agreed between the Recipient and ADB.

The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of the Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Use of Proceeds of the Grant. Section 3.01. The Recipient shall make cause the proceeds of the Grant available to SPG and shall cause SPG to apply the proceeds of the Grant be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement. Section 3.02. The Goods, Works and Works, consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and Works, consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, ; and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 2014 or such other date as may from time to time be agreed between the Recipient and ADB.

Section 3.03. Except as ADB may otherwise agree, all Goods, Works and consulting services Goods to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 4 to this Grant Agreementthe Financing Agreement and the Procurement Manual under the Standard Operating Procedures. In the event there is a conflict between Schedule 4 to the Financing Agreement and the Procurement Manual, then Schedule 4 shall apply. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services Consulting Services shall be made only on account of expenditures relating to: (a) Goods Goods, Works and Consulting Services which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 2015 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. (a) The Recipient shall make cause the proceeds of the Grant available to SPG and shall cause SPG to apply the proceeds of the Grant be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the Project Agreement. (b) The Recipient shall make a portion of the proceeds of the Grant equivalent to ten million two hundred thousand dollars (US$ 10,200,000) available to CAA for Component 1 of the Project upon terms and conditions satisfactory to ADB and shall cause CAA to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the Project Agreement. Section 3.02. The Goods, Works Works, and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works Works, and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works Works, and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 1 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goodsthe Recipient, Works and consulting services through the Project Executing Agency, shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 2 to this Grant Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and consulting services Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, ; and (b) Goods, Works and consulting services Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Except as ADB may otherwise agree, all Goods, Works Goods and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Withdrawals from the Grant Account in respect of Goods, Works goods and consulting services shall be made only on account of expenditures relating to (a) Goods goods which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works goods and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 2010 or such other date as may from time to time be agreed between the Recipient and ADB.

The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of may be withdrawn from the Grant among different categories Account only for the purposes of such Goods, Works and consulting services and other items of expenditure shall be financing expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works and consulting services Eligible Items to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating toto Eligible Items which: (a) Goods which are produced in in, and supplied from and Works and consulting services which are supplied from from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, ; and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. Except as ADB may otherwise agree, no withdrawals shall be made from the Grant Account in respect of expenditures for Eligible Items prior to the Effective Date. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 or such other date as may from time to time be agreed between the Recipient and ADB.

Withdrawals from the Grant Account in respect of Goods, Works consulting services, and consulting services other items of expenditure shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and Works from, and consulting services and other items of expenditure which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works consulting services, and consulting services other items of expenditure which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June September 2012 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. The Recipient shall make cause the proceeds of the Grant available to SPG and shall cause SPG to apply the proceeds of the Grant be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goodsthe Recipient shall procure, Works and consulting services or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.04. Except as ADB may otherwise agree, the Recipient shall cause all items of expenditure financed out of the proceeds of the Grant to be used exclusively in the carrying out of the Project. Section 3.05. Use of Proceeds of the Grant. Section 3.01. (a) The Recipient shall make the proceeds of the Grant available to SPG SEA under the SEA Subsidiary Grant Agreement upon the terms and conditions satisfactory to ADB. (b) The Recipient shall cause SPG to apply the proceeds of the Grant to be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation Grant, net of amounts of the Grant among different categories of such GoodsADB's service charge, Works and consulting services and other items of expenditure shall be allocated and withdrawn, in accordance with the provisions of the Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goodsthe Recipient shall procure, Works and consulting services or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 4 to this Grant the Special Operations Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Recipient shall cause all items of expenditure financed out of the proceeds of the Grant to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works goods and consulting services shall be made only on account of expenditures relating to: (a) Goods which goods that are produced in and supplied from from, and Works and consulting services which that are supplied from from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works goods and consulting services which that meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 September 2010 or such other date as may from time to time be agreed between the Recipient and ADB.

The Recipient shall make cause or cause the EA to cause the proceeds of the Grant available to SPG and shall cause SPG to apply the proceeds of the Grant be applied to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the Project Agreement. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goodsthe Recipient shall ensure or cause the EA to ensure that, Works and consulting services the items of expenditure to be financed out of the proceeds of the Grant shall be in procured in accordance with the provisions of Schedule 3 4 to this Grant the ADB Loan Agreement. Section 3.04. Withdrawals from the Grant Account in respect of Goods, Works and consulting services Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and consulting services Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, ; and (b) Goods, Works and consulting services Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 28 February 2026 or such other date as may from time to time be agreed between the Recipient and ADB.
