Use of Proceeds of the Grant. Section 3.01. Except as ADB may otherwise agree: (a) the Recipient shall make available to MPPW twenty-eight million one hundred thousand Dollars ($28,100,000) of the Grant and shall cause MPPW to apply proceeds of the Grant to the financing of expenditures under the Project in accordance with the provisions of this Grant Agreement; and (b) the Recipient shall lend to TDF seventeen million Dollars ($17,000,000) of the Grant under the Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB and shall cause TDF to apply such loan proceeds to the financing of expenditures under Component 2 of the Project. Except as ADB shall otherwise agree, the terms and conditions of the loan to TDF shall include a repayment period of twenty (20) years, including a grace period of five (5) years, and an interest rate not exceeding three per cent (3%) per annum. The Recipient shall apply all amounts repaid by TDF under the Subsidiary Loan Agreement to poverty reduction programs in Nepal. The Recipient shall cause TDF to onlend the loan proceeds under the Subloan Agreements to WUSCs, participating in the Project at an interest rate not exceeding five per cent (5%) per annum, with a repayment period of up to twenty (20) years including a grace period of up to five (5) years. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement.

Use of Proceeds of the Grant. Section 3.01. Except as ADB may otherwise agree:The Recipient shall make available, (a) the Recipient shall make available to MPPW twenty-eight an amount of twelve million one hundred and twelve thousand Dollars ($28,100,00012,012,000) to NRB, under an Administration Agreement satisfactory to ADB, for the purpose of carrying out Part A of the Project, and cause such proceeds to be applied for subgrants denominated in Nepali Rupees by Qualified Enterprises for Qualified Subprojects in accordance with the provisions of this Grant Agreement and shall the NRB Project Agreement; (b) an amount of six hundred and twenty thousand Dollars ($620,000) to AEC, under a Subsidiary Grant Agreement satisfactory to ADB, to support implementation of post harvest programs under the Project, and cause MPPW AEC to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Grant Agreement and the AEC Project Agreement; and (c) the balance of the proceeds of the Grant to DOA for the purpose of carrying out Parts B and C of the Project, and cause DOA to apply such proceeds to the financing of expenditures under on the Project in accordance with the provisions of this Grant Agreement; and. Section 3.02. NRB shall make subgrants to Qualified Enterprises under AGF Grant Agreements, satisfactory to ADB, only upon approval of such subgrants by DOA (b) and ADB, where applicable), and NRB and DOA shall cause the Recipient shall lend Qualified Enterprises to TDF seventeen million Dollars ($17,000,000) apply the proceeds of the Grant under the Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB and shall cause TDF to apply such loan proceeds subgrants to the financing of expenditures under Component 2 of the Project. Except as ADB shall otherwise agree, the terms and conditions of the loan to TDF shall include a repayment period of twenty (20) years, including a grace period of five (5) years, and an interest rate not exceeding three per cent (3%) per annum. The Recipient shall apply all amounts repaid by TDF under the Subsidiary Loan Agreement to poverty reduction programs in Nepal. The Recipient shall cause TDF to onlend the loan proceeds under the Subloan Agreements to WUSCs, participating in on the Project at an interest rate not exceeding five per cent (5%) per annum, in accordance with a repayment period the provisions of up to twenty (20) years including a grace period of up to five (5) yearsthis Grant Agreement and the NRB Project Agreement. Section 3.023.03. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. (a) Except as ADB may otherwise agree, all Goodsthe Recipient shall procure, Works and consulting services or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. (b) Except as ADB may otherwise agree, the portion of proceeds of the Grant made available to NRB shall be used only for making subgrants to Qualified Enterprises and shall be applied exclusively to the cost of Goods, Works and Consulting Services and other items of expenditure required to carry out the Qualified Subprojects in respect of which the Grant was withdrawn. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2018 or such other date as may from time to time be agreed between the Recipient and ADB.

Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and Works and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 31 December 2014 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01(a) The Recipient shall lend a portion of the Grant proceeds in the amount of $15,000,000 to DABS under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. Except as ADB may shall otherwise agree: (a) , the Recipient shall make available to MPPW twenty-eight million one hundred thousand Dollars ($28,100,000) of terms for lending the Grant and shall cause MPPW to apply proceeds of the Grant shall include a term of 32 years, with 8 year grace period, and interest at the rate of 1% per annum during grace period and 1.5% per annum thereafter, with the foreign exchange risk being borne by DABS. (b) The Recipient shall cause the proceeds of the Grant (including the amount referred to under sub-Section [a] above) to be applied to the financing of expenditures under on the Project in accordance with the provisions of this Grant Agreement; and (b) the Recipient shall lend to TDF seventeen million Dollars ($17,000,000) of the Grant under the Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB and shall cause TDF to apply such loan proceeds to the financing of expenditures under Component 2 of the Project. Except as ADB shall otherwise agree, the terms and conditions of the loan to TDF shall include a repayment period of twenty (20) years, including a grace period of five (5) years, and an interest rate not exceeding three per cent (3%) per annum. The Recipient shall apply all amounts repaid by TDF under the Subsidiary Loan Agreement to poverty reduction programs in Nepal. Withdrawals from the Grant Account in respect of Goods, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 31 March 2015 or such other date as may from time to time be agreed between the Recipient and ADB.

Withdrawals from the Grant Account in respect of Goods, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 15 January 2019 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. Except as ADB may otherwise agree:The Recipient shall, upon terms and conditions satisfactory to ADB, (a) lend to BDFC an amount of five million dollars ($5,000,000) for the Recipient shall purpose of carrying out Part A of the Project, and cause BDFC to apply such proceeds for financing specific development projects by making Subloans for Qualified Projects to Qualified Enterprises in accordance with the provisions of this Grant Agreement and the Project Agreement; and (b) make available to MPPW twenty-eight million one hundred thousand Dollars ($28,100,000) the balance of the Grant and shall cause MPPW to apply proceeds of the Grant to MEA for the purpose of carrying out Parts B and C of the Project, and cause MEA to apply such proceeds to the financing of expenditures under on the Project in accordance with the provisions of this Grant Agreement; and. (ba) the The Recipient shall lend to TDF seventeen million Dollars ($17,000,000) enter into a loan agreement with BDFC, providing inter alia for the lending of the proceeds of the Grant under the Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB and shall cause TDF BDFC to apply such loan proceeds to the financing of expenditures under Component 2 carry out Part A of the Project. Except as ADB shall otherwise agree, the terms and conditions a term of the loan to TDF shall include a repayment period of twenty (20) years, including a grace period of five (5) years, and an interest rate not exceeding three per cent (3%) per annum. The Recipient shall apply all amounts repaid by TDF under the Subsidiary Loan Agreement to poverty reduction programs in Nepal. The Recipient shall cause TDF to onlend the loan proceeds under the Subloan Agreements to WUSCs, participating in the Project at an interest rate not exceeding five per cent (5%) per annum, with a repayment period of up to twenty (20) 20 years including a grace period of up 5 years, and the rights of the Recipient and ADB with respect thereto. Such BDFC Loan Agreement shall be in form and on terms and conditions acceptable to five (5) yearsADB, and shall be without prejudice to, and without limitation on, the obligations of the Recipient under this Grant Agreement. Section 3.02(b) The proceeds of the ▇▇▇▇▇ ▇▇▇▇ to BDFC shall carry an interest rate equivalent to weighted average deposit rate published by RMA from time to time and prevailing on the date of withdrawal. The weighted average deposit rate shall be adjusted at three- monthly intervals. (a) Subject to Section 3.03(b) below, the Goods, Works Works, and consulting services services, and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works Works, and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. (b) Except as ADB may otherwise agree, the proceeds of the ▇▇▇▇▇ ▇▇▇▇ to BDFC shall be used only for making Subloans to Qualified Enterprises and shall be applied exclusively to the cost of Goods, Works and consulting services and other items of expenditure required to carry out the Qualified Projects in respect of which the Grant was withdrawn. Section 3.033.04. Except as ADB may otherwise agree, all Goods, Works Works, and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works, and consulting services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works, and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2012 or such other date as may from time to time be agreed between the Recipient and ADB.

(b) The Recipient agrees that the proceeds of the ProjectGrant may be used to pay to the third parties fees and charges, if any, payable to such third parties. Except as ADB shall otherwise agreebe entitled to withdraw from the Grant Account and pay to such third parties, on behalf of the Recipient, the terms amounts required to meet payments, when due, of such fees and conditions of the loan to TDF shall include a repayment period of twenty (20) years, including a grace period of five (5) years, and an interest rate not exceeding three per cent (3%) per annum. The Recipient shall apply all amounts repaid by TDF under the Subsidiary Loan Agreement to poverty reduction programs in Nepal. The Recipient shall cause TDF to onlend the loan proceeds under the Subloan Agreements to WUSCs, participating in the Project at an interest rate not exceeding five per cent (5%) per annum, with a repayment period of up to twenty (20) years including a grace period of up to five (5) yearsother charges. Withdrawals from the Grant Account in respect of Goods and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2020 or such other date as may from time to time be agreed between the Recipient and ADB.

Withdrawals from the Grant Account in respect of Goods, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Use of Proceeds of the Grant. Section 3.01. ADB shall be entitled to withdraw from the Grant Account and pay to itself, on behalf of the Recipient, the amounts required to meet payments, when due, of such administration fees and other charges. Section 3.03. The Recipient shall apply all amounts repaid by TDF under procure, or cause to be procured, the Subsidiary Loan Agreement to poverty reduction programs in Nepal. The Recipient shall cause TDF to onlend the loan proceeds under the Subloan Agreements to WUSCs, participating in the Project at an interest rate not exceeding five per cent (5%) per annum, with a repayment period of up to twenty (20) years including a grace period of up to five (5) years. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 4 to this the Additional Loan Agreement. Section 3.04. Withdrawals from the Grant AgreementAccount in respect of Goods, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as such Schedule may be amended shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by agreement ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2019 or such other date as may from time to time be agreed between the Recipient and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement.

Use of Proceeds of the Grant. Section 3.01. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.03(a) The Recipient shall relend portions of the proceeds of the Grant in the amount of the TJS equivalent of one million nine hundred thousand Dollars ($1,900,000) (“Climate Resilient Agriculture Credit Line”) and the amount of the TJS equivalent of nine hundred twenty-four thousand Dollars ($924,000) (“Income Diversification Credit Line”) (together “Credit Lines”) to PFIs under Subsidiary Loan Agreements to be concluded with each PFI upon terms and conditions satisfactory to ADB. One half of each of the Credit Lines will be allocated in equal portions to IMON International and OXUS and the remaining one half of each of the Credit Lines (“Remaining Amount”) will be allocated to PFI(s) selected by the Recipient and acceptable to ADB. If as at 31 December 2016, any portion of the Remaining Amount remains unallocated, such portion will be divided and allocated in equal amounts to PFIs selected as at that date and the Recipient and the PFIs will enter into, or amend, Subsidiary Loan Agreements accordingly. (b) Except as ADB shall otherwise agree, the terms for relending the proceeds of the Grant under each Subsidiary Loan Agreement shall include: (i) a total Subsidiary Loan amount acceptable to ADB; (ii) denomination in TJS; (iii) a repayment period of 5 years; and (iv) interest at a rate equivalent to the NBT refinancing rate prevailing on the date of the Subsidiary Loan Agreement, such rate to be reset on each annual anniversary of the Subsidiary Loan Agreement during the term of the Subsidiary Loan Agreement to reflect the then prevailing NBT refinancing rate. ADB will enter into Project Agreements with each PFI. (c) If there is any change to the composition of the PFIs as described in subsection (a) hereinabove, and/or there is a need to reallocate the proceeds of the Grant for more effective implementation of Part D of the Project, the Recipient shall reallocate the Grant proceeds among the PFIs in a manner acceptable to ADB. (d) The Recipient shall cause the proceeds of the Grant described in subsection (a) above to be applied to the financing of Part D of the Project in accordance with the provisions of this Grant Agreement and the applicable Project Agreements. Except as ADB may otherwise agree, all such proceeds shall be used only for making Subloans to Eligible Subborrowers for Eligible Subborrower Subprojects and shall be applied exclusively to the cost of Goods, Works and consulting services Consulting Services required to carry out such Eligible Subborrower Subprojects. Section 3.04. Except as ADB may otherwise agree, the Recipient shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2020 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. Except as ADB may otherwise agree: (a) the The Recipient shall make available to MPPW twenty-eight a portion of the proceeds of the Grant in the amount of one million one two hundred thousand Dollars ($28,100,0001,200,000) of the Grant available to MoF and shall cause MPPW MoF to apply such proceeds of the Grant exclusively to the financing of expenditures under on Part A of the Project in accordance with the provisions of this Grant Agreement; and. (ba) the The Recipient shall lend to TDF seventeen relend a portion of the proceeds of the Grant in the amount of eight million eight hundred thousand Dollars ($17,000,0008,800,000) of the Grant equivalent (“Credit Line”) to PFIs under the Subsidiary Loan Agreement Agreements to be concluded with each PFI upon terms and conditions satisfactory to ADB and shall cause TDF to apply such loan proceeds to the financing of expenditures under Component 2 ADB. Ten percent of the ProjectCredit Line will be allocated to each of IMON International and Arvand and the remaining eighty percent of the Credit Line (“Remaining Amount”) will be allocated to PFI(s) selected by the Recipient and acceptable to ADB. If, as at the date that is 12 months after the Effective Date, any portion of the Remaining Amount remains unallocated, such portion will be divided and allocated in equal amounts to PFIs selected as at that date and the Recipient and the PFIs will enter into, or amend, Subsidiary Loan Agreements accordingly. (b) Except as ADB shall otherwise agree, the terms and conditions for relending the proceeds of the loan Grant under each Subsidiary Loan Agreement shall include: (i) a total Subsidiary Loan amount satisfactory to TDF shall include ADB; (ii) denomination in TJS; (iii) a repayment period of twenty 5 years; and (20iv) yearsinterest at a rate equivalent to the NBT refinancing rate prevailing on the date of the Subsidiary Loan Agreement, including a grace period such rate to be reset on each annual anniversary of five (5) years, and an interest rate not exceeding three per cent (3%) per annum. The Recipient shall apply all amounts repaid by TDF under the Subsidiary Loan Agreement during the term of the Subsidiary Loan Agreement to poverty reduction programs in Nepalreflect the then prevailing NBT refinancing rate. ADB will enter into Project Agreements with each PFI. (c) The Recipient shall cause TDF to onlend the loan proceeds under the Subloan Agreements to WUSCs, participating in the Project at an interest rate not exceeding five per cent (5%) per annum, with a repayment period of up to twenty (20) years including a grace period of up to five (5) years. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Grant and described in subsection (a) above to be applied to the allocation financing of amounts Part B of the Project in accordance with the provisions of this Grant among different categories Agreement and each Project Agreement. Except as ADB may otherwise agree, such proceeds shall be used only for making Subloans to Qualified Subborrowers for Qualified Subprojects and shall be applied exclusively to the cost of such Goods, Works and consulting services and other items Consulting Services required to carry out such Qualified Subprojects. Section 3.03. The proceeds of expenditure the Grant shall be allocated and withdrawn in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule may be amended from time to time by agreement between the Recipient and ADB. Section 3.033.04. Except as ADB may otherwise agree, all Goodsthe Recipient shall procure, Works and consulting services or cause to be procured, the items of expenditure to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.05. Withdrawals from the Grant Account in respect of Goods, Works and Consulting Services under Part A of the Project shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2019 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. Except as ADB shall otherwise agree, the terms and conditions for lending the proceeds of the loan to TDF Grant shall include a repayment period term of twenty (20) 32 years, including a with 8 year grace period, and interest at the rate of 1% per annum during grace period of five and 1.5% per annum thereafter, with the foreign exchange risk being borne by DABS. The Goods, Works and Works, consulting services services, and other items of expenditure to be financed out of the proceeds of the Grant and the allocation of amounts of the Grant among different categories of such Goods, Works and Works, consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 2 to this Grant Agreement, as such Schedule 2 may be amended from time to time by agreement between the Recipient and ADB. Section 3.03. Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from, and Works and services which are supplied from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.04. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Grant shall be procured in accordance with the provisions of Schedule 3 to this Grant Agreement. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2014 or such other date as may from time to time be agreed between the Recipient and ADB.

Use of Proceeds of the Grant. Section 3.01. Except as ADB shall otherwise agree, proceeds of the Grant equivalent to US$307,100 available to SFDB for Component 1(b) of the Project upon terms and conditions satisfactory to ADB and shall cause SFDB to apply such proceeds to the financing of expenditures on the loan to TDF shall include a repayment period Project in accordance with the provisions of twenty this Grant Agreement and the Project Agreement. Withdrawals from the Grant Account in respect of Goods, Works and consulting services shall be made only on account of expenditures relating to (a) Goods which are produced in and supplied from and services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) Goods, Works and consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. The Grant Closing Date for the purposes of Section 8.02 of the Grant Regulations shall be 30 June 2009 or such other date as may from time to time be agreed between the Recipient and ADB.

(c) The Recipient shall cause MPPW to apply the proceeds of the Grant to be applied to the financing of expenditures under on the Project in accordance with the provisions of this Grant Agreement; and (b) the Recipient shall lend to TDF seventeen million Dollars ($17,000,000) of the Grant under the Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB and shall cause TDF to apply such loan proceeds to the financing of expenditures under Component 2 of the Project.
