Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

The proceeds of the Loan shall may be allocated and withdrawn from the Loan Account only for the purposes of financing foreign currency expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all Eligible Items to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating toto Eligible Items which: (a) Goods which are produced in in, and supplied from and Works and Consulting Services which are supplied from from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. Except as ADB may otherwise agree, no withdrawals shall be made from the Loan Account in respect of expenditures for Eligible Items incurred more than one hundred eighty (180) days prior to the Effective Date. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2009 or such other date as may from time to time be agreed between the Borrower and ADB.

(b) The Borrower shall cause the State to make the proceeds of the Loan available to be applied each of the DISCOMs under Onlending Agreements on terms and conditions mutually acceptable to ADB, the Borrower and the State. (c) The Borrower shall cause the State and the DISCOMs to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 28 February 2015 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project Program in accordance with the provisions of this Loan Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure Eligible Items to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating toto Eligible Items which: (a) Goods which are produced in in, and supplied from and Works and Consulting Services which are supplied from from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. Except as ADB may otherwise agree, no withdrawal shall be made from the Loan Account in respect of expenditures for Eligible Items incurred more than 180 days prior to the Effective Date. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2012 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The Goods, Works, and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works, and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procuredWorks, the items of expenditure and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause relend the proceeds of the Loan to be applied TGTDCL under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. (b) The Borrower shall cause TGTDCL to apply the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The categorization of the Goods, Works, Consulting Services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among the different categories of Goods, Works, Consulting Services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works from, and Consulting Services which are supplied from from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, the Goods, Works and Consulting Services shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Special Operations Loan Regulations shall be 30 June 2019 September 2015 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause relend the proceeds of the Loan to Punjab under a Financing Agreement upon the same financial terms and conditions as are applicable to the Borrower hereunder, which shall include interest at a rate of one percent (1%) per annum during the grace period and one and one-half percent (1.5%) per annum thereafter, with a repayment period of thirty-two (32) years including a grace period of eight (8) years. The foreign exchange risk shall be applied borne by Punjab. (b) The Borrower shall cause Punjab to apply such proceeds to the financing of expenditures on the Project TA in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADBADB after prior consultations with Punjab. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2009 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause make the proceeds of the Loan available to be applied the State upon terms and conditions mutually agreeable to ADB and the Borrower and shall cause the State to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods, Works or consulting or services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the State to ensure that all items of expenditure Goods, Works and consulting services financed out of the proceeds of the Loan to be are used exclusively in the carrying out of the Project. Section 3.05. Withdrawals The closing date for withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

The Borrower shall cause make the proceeds of the Loan available to be applied the PPCs upon terms and conditions satisfactory to ADB and shall cause the PPCs to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2017 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause relend the proceeds of the Loan to DABM under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. Except as ADB shall otherwise agree, the proceeds of the Loan shall be applied relent to DABM on the same terms and conditions as those of the Loan, with the foreign exchange risk being borne by the Borrower. (b) The Borrower shall cause DABM to apply the proceeds of the Loan to the financing of expenditures on the Project Afghan Component in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Works and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.04. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 September 2009 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause make the proceeds of the Loan available to be applied RDA upon terms and conditions satisfactory to ADB and shall cause RDA to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement, the Ordinary Operations Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Goods and Consulting Services Works shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Goods and Consulting Services Works which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 September 2021 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause make the proceeds of the Loan available, as a grant, to be applied the Project Executing Agencies and shall cause the Project Executing Agencies to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2017 or such other date as may from time to time be agreed between the Borrower and ADB.

Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procuredWorks, the items of expenditure and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The Goods and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all Goods and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Goods and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Goods and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2010 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower through Ministry of Railways shall cause make the proceeds of the Loan available to be applied RVNL under the RVNL MOU for carrying out the Project, and shall cause RVNL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The goods and services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such goods and services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all goods and services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, goods and Consulting Services services shall be made only on account of expenditures relating to: (a) Goods goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, goods and Consulting Services services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 March 2009 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause make the proceeds of the Loan available to be applied MDF upon terms and conditions satisfactory to ADB and shall cause MDF to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall relend the proceeds of the Loan to PGCB under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. (b) The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this the Ordinary Operations Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

The proceeds of the Loan shall may be allocated and withdrawn from the Loan Account only for the purposes of financing foreign currency expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all Eligible Items to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating toto Eligible Items which: (a) Goods which are produced in in, and supplied from and Works and Consulting Services which are supplied from from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. Except as ADB may otherwise agree, no withdrawals shall be made from the Loan Account in respect of expenditures for Eligible Items incurred more than one hundred eighty (180) days prior to the Effective Date. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2015 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 September 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure Works and consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals The closing date for withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 29 February 2012 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause relend the proceeds of the Loan to be applied each DISCO on terms and conditions acceptable to ADB. (b) The Borrower shall cause the DISCO to apply the proceeds of the Loan to the financing of expenditures on the Investment Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works, consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works, consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods, Works and consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure Goods, Works and consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Investment Project. Section 3.05. Withdrawals The closing date for withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 2012 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause relend the proceeds of the Loan in Rupees to NTDC under an Onlending Agreement upon terms and conditions satisfactory to ADB. Any foreign exchange risk shall be applied borne by the Borrower. (b) The Borrower shall cause NTDC to apply the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works, consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works, consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. (b) The Borrower shall cause VEC to apply such proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Goods and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Goods and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, all Goods and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2010 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause shall, upon terms and conditions satisfactory to ADB, make the proceeds of the Loan available, through timely budget allocations, to: (a) the City Corporations for the purpose of carrying out their respective parts of the Project, and cause the City Corporations to be applied apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement; and (b) LGD for the purpose of carrying out its part of the Project, and cause LGD to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Works and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2017 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause make the proceeds of the Loan available to be applied PIPD through Punjab upon terms and conditions satisfactory to ADB and shall cause PIPD to apply such proceeds to the financing of expenditures on Part F of the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 September 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan shall be used to finance items of expenditure that have already been procured in accordance with the provisions of Schedule 4 to this the Initial Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Goods and Consulting Services Works shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Goods and Consulting Services Works which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2014 or such other date as may from time to time be agreed between the Borrower and ADB.

The Goods, Works and Consulting Services to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and Consulting Services shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and Consulting Services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause relend the proceeds of the Loan required for the Project to be CIPA under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. Except as ADB may otherwise agree, the terms of the proceeds of the Loan made available to CIPA shall include (i) interest at the rate identical to that applied to the Loan; (ii) the repayment period including the grace period identical to those applied to the Loan; and (iii) the Borrower bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall cause CIPA to apply the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. (b) The Borrower shall make the proceeds of the Loan available to each of RHD and BR for Road Preparatory Subprojects under Component A and for Railway Preparatory Subprojects under Component B, respectively; and shall cause RHD and BR to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement, as applicable. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, Agreement as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the applicable provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 September 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure Goods, Works and consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals The closing date for withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 31 July 2012 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The Goods, Works, consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works, consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procuredWorks, the items of expenditure and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Bank may refuse to finance a contract where goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower and the Bank or where the terms and conditions of the contract are not satisfactory to the Bank. Section 3.04. Except as ADB the Bank may otherwise agree, the Borrower shall cause all items of expenditure goods and services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, goods and Consulting Services services shall be made only on account of expenditures relating to: (a) Goods goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB the Bank as shall have been specified by ADB the Bank from time to time as eligible sources for procurement; , and (b) Goods, Works, goods and Consulting Services services which meet such other eligibility requirements as shall have been specified by ADB the Bank from time to time. The closing date for withdrawals from the Loan Closing Date Account for the purposes of Section 8.02 8.03 of the Loan Regulations shall be 30 June 2019 31 March 2007 or such other date as may from time to time be agreed between the Borrower and ADBthe Bank.

The closing date for withdrawals from the Loan Closing Date Account for the purposes of Section 8.02 8.03 of the Loan Regulations shall be 30 June 2019 2010 or such other date as may from time to time be agreed between the Borrower and ADBthe Bank.

Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this the Ordinary Operations Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. The Borrower Sri Lanka shall cause make the proceeds of the Loan available to be applied MED upon terms and conditions satisfactory to ADB and shall cause MED to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn provided in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower Sri Lanka and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Works and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 3 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2012 or such other date as may from time to time be agreed between the Borrower Sri Lanka and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause make the proceeds of the Loan available to be applied Punjab upon terms and conditions satisfactory to ADB and shall cause Punjab to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Works and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, all Goods, Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2014 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause make the proceeds of the Loan available to be applied the State upon terms and conditions satisfactory to ADB and shall cause the State to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. (b) The Borrower shall cause the State to relend the proceeds of the Loan together with other funds required for the Project to KMC under an Onlending Agreement upon terms and conditions satisfactory to ADB. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. The Borrower shall cause make the proceeds of the Loan available to be applied Balochistan upon terms and conditions satisfactory to ADB and shall cause Balochistan to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. The foreign exchange risk of the Loan shall be borne by the Borrower. Section 3.02. The goods and services to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such goods and services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, goods and Consulting Services services shall be made only on account of expenditures relating to: (a) Goods goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, goods and Consulting Services services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, all goods and services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2010 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause (a) onlend $17,685,000 of the proceeds of the Loan to be applied HCMC PC under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB; (b) make the remaining part of the proceeds of the Loan available to HCMC PC on a grant basis; and (c) cause HCMC PC to apply proceeds of the Loan to the financing of expenditures on the CTF Part of the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 4 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 5 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the CTF Part of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 7.02 of the Loan Regulations Standard Terms shall be 30 June 2019 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause make the proceeds of the Loan Loans available to be applied VEC upon terms and conditions satisfactory to ADB and shall cause VEC to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan Loans shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this the Initial ADF Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan Loans to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account Accounts in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services Works which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2016 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The Goods, Works and consulting services to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure Goods, Works and consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from Except as ADB and the Loan Account Borrower may otherwise agree, no procurement of Works is envisaged under the Project. In the event any procurement of Works is considered necessary, then the method of procurement and related threshold values will be updated in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to timethe Procurement Plan. Section 3.06. The closing date for withdrawals from the Loan Closing Date Account for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 2016, or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2016 or such other date as may from time to time be agreed between the Borrower and ADB.

The Borrower shall cause make the proceeds of the Loan available to be applied NAC as budgetary support upon terms and conditions satisfactory to ADB and shall cause NAC to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 September 2017 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this the Ordinary Operations Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Works and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2010 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall make the proceeds of the Loan available to NMSA upon terms and conditions satisfactory to ADB and shall cause NMSA to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. (b) The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 31 March 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause make the proceeds of the Loan available to be applied NHA on terms and conditions mutually agreed between the Borrower and NHA and satisfactory to ADB. (b) The Borrower shall cause NHA to apply the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works, and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such goods and services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procuredWorks, the items of expenditure and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2014 or such other date as may from time to time be agreed between the Borrower and ADB.

The Borrower shall cause make the proceeds of the Loan available to be applied BWDB upon terms and conditions satisfactory to ADB and shall cause BWDB to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, Works and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The goods and services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such goods and services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all goods and services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, goods and Consulting Services services shall be made only on account of expenditures relating to: (a) Goods goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, goods and Consulting Services services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2008 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause make the proceeds of the Loan available to be applied Punjab upon terms and conditions mutually agreed between the Borrower and Punjab and satisfactory to ADB. (b) The Borrower shall cause Punjab to apply the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The goods, works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such goods, works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goodsgoods, Works, works and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goodsgoods, Works, works and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, all goods, works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 May 2012 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause make the proceeds of the Loan available to be applied NHA upon terms and conditions satisfactory to ADB. (b) The Borrower shall cause NHA to apply the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The goods and services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such goods and services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure all goods and services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to this Loan Agreement. ADB may refuse to finance a contract where goods or services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure goods and services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals The closing date for withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 31 December 2010 or such other date as may from time to time be agreed between the Borrower and ADB.

Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, goods and Consulting Services services shall be made only on account of expenditures relating to: (a) Goods goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, goods and Consulting Services services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause shall, through SOCAD, make the proceeds of the Loan available to be the Participating Provinces on a grant basis in the amounts specified in the ▇▇▇. (b) The Borrower shall, through SOCAD, cause governments of the Participating Provinces to make the proceeds of the Loan available to Project County Governments on a grant basis. (c) The Borrower shall, through SOCAD, cause the Project County Governments to ensure that the proceeds of the Loan are applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 31 December 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall cause relend the proceeds of the Loan to be applied JMBA under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. (b) The Borrower shall cause JMBA to apply such proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.063.04. Except as ADB may otherwise agree, all consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Section 3.05. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 31 August 2010 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement. Section 3.02. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure Goods, Works and consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals The closing date for withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The Loan Closing Date for the purposes of Section 8.02 9.02 of the Loan Regulations shall be 30 June 2019 31 December 2012 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. Section 3.01. (a) The Borrower shall relend the proceeds of the Loan to VEC under a Subsidiary Loan Agreement upon terms and conditions satisfactory to ADB. (b) The Borrower shall cause the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 3 to this the Initial OCR Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Withdrawals from the Loan Account in respect of Goods, Works, goods and Consulting Services services shall be made only on account of expenditures relating to: (a) Goods goods which are produced in and supplied from and Works and Consulting Services services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, goods and Consulting Services services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2011 or such other date as may from time to time be agreed between the Borrower and ADB.

Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. Withdrawals from the Loan Account in respect of Goods, Works, Works and Consulting Services consulting services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services consulting services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; , and (b) Goods, Works, Works and Consulting Services consulting services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 2016 or such other date as may from time to time be agreed between the Borrower and ADB.

The Loan Closing Date for the purposes of Section 8.02 of the Loan Regulations shall be 30 June 2019 September 2015 or such other date as may from time to time be agreed between the Borrower and ADB.

Withdrawals from the Loan Account in respect of Goods, Works, and Consulting Services shall be made only on account of expenditures relating to: (a) Goods which are produced in and supplied from and Works and Consulting Services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement; and (b) Goods, Works, and Consulting Services which meet such other eligibility requirements as shall have been specified by ADB from time to time. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement.
