Use of Proceeds of the Loan. (a) The Borrower shall relend the proceeds of the Loan in Rupees to NTDC under an Onlending Agreement upon terms and conditions satisfactory to ADB. The foreign exchange risk shall be borne by the Borrower. (b) The Borrower shall cause NTDC to apply the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.03. Except as ADB may otherwise agree, all Goods and Works to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods and Works have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all Goods and Works financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The closing date for withdrawals from the Loan Account for the purposes of Section 9.02 of the Loan Regulations shall be 30 December 2009 or such other date as may from time to time be agreed between the Borrower and ADB.

The foreign exchange risk shall be borne by the Borrower. ; and (bii) The Borrower shall cause NTDC to apply ensure that GETCO applies the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods and Works the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. (a) The Borrower shall relend the proceeds of the Loan in Rupees together with other funds required for the Project to NTDC the WSCs under an Onlending Agreement Subsidiary Loan Agreements upon terms and conditions satisfactory to ADB. The foreign exchange risk shall be borne by the BorrowerADB as follows: (i) $19.884 million to Bac ▇▇▇▇▇ Water Supply and Sewerage One Member Limited Company, (ii) $13.190 million to Cua Lo Water Supply One Member Limited Company, (iii) $19.960 million to Nghe An Water Supply One Member Limited Company, (iv) $24.410 million to ▇▇▇▇▇ ▇▇▇ Water Supply and Drainage Joint Stock Company, (v) $30.523 million to Song Chu One Member Limited Company, (vi) $9.643 million to Thai Hoa Water Supply One Member Limited Company, and (vii) $24.890 million to Thai ▇▇▇▇▇▇ Water Joint Stock Company. (b) The Borrower shall cause NTDC to apply the proceeds of the Loan to be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods Goods, Works and Works consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. Except as ADB may otherwise agree, all Goods and Works Eligible Items to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods and Works have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Withdrawals from the Loan Account shall be made only on account of expenditures relating to Eligible Items which: (a) are produced in, and are supplied from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. Except as ADB may otherwise agree, the Borrower no withdrawals shall cause all Goods and Works financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The closing date for withdrawals made from the Loan Account in respect of expenditures for Eligible Items incurred more than one hundred and eighty days (180) days prior to the Effective Date. Section 3.06. The Loan Closing Date for the purposes of Section 9.02 8.02 of the Loan Regulations shall be 30 December June 2009 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) Section 3.01. The Borrower shall relend make the proceeds of the Loan in Rupees available to NTDC under an Onlending Agreement RDA upon terms and conditions satisfactory to ADB. The foreign exchange risk shall be borne by the Borrower. (b) The Borrower ADB and shall cause NTDC RDA to apply the such proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement, the Ordinary Operations Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods and Works the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. The Loan Closing Date for the purposes of Section 9.02 8.02 of the Loan Regulations shall be 30 December 2009 September 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. The Except as ADB shall otherwise agree, the terms for relending the proceeds of the Loan shall include interest at the rate not exceeding 2.5% per annum (inclusive of foreign exchange risk shall be borne by the Borrowerrisk) and a repayment period not exceeding 20 years including a grace period not exceeding 6 years. (b) The Borrower shall cause NTDC the MUB to apply the such proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement Agreement, the Ordinary Operations Loan Agreement, the Grant Agreement, and the Project Agreement. The Goods, Works and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. The Borrower shall bear the foreign exchange risk shall be borne by the Borrowerrisk. (b) The Borrower shall cause NTDC Punjab to apply the proceeds of the Loan Counterpart Funds to the financing of expenditures on for the Project Program in accordance with the provisions of this Loan Agreement and the Project Program Agreement. The Goods, Works and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of may be withdrawn from the Loan among different categories Account only for the purposes of such Goods, Works and other items of expenditure shall be financing foreign currency expenditures incurred for Eligible Items under the Program in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Except as ADB may otherwise agree, the Borrower shall cause all Goods goods and Works services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Withdrawals from the Loan Account in respect of goods and services shall be made only on account of expenditures relating to (a) goods which are produced in and supplied from and services which are supplied from such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) goods and services which meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.06. The closing date for withdrawals from the Loan Account for the purposes of Section 9.02 8.03 of the Loan Regulations shall be 30 31 December 2009 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall relend make the proceeds of the Loan in Rupees available to NTDC the State under an Onlending Agreement Financing Arrangements upon terms and conditions mutually satisfactory to ADB. The foreign exchange risk shall be borne by ADB and the Borrower. (b) The Borrower shall cause NTDC the State to apply make the proceeds of the Loan available to RUIDP under Relending Arrangements mutually satisfactory to ADB and the Borrower. (c) The Borrower shall cause the State to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods and Works the Borrower shall procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. The closing date for withdrawals from the Loan Account Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 December 2009 June 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

The Goods, Works and other items of expenditure consulting services to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and other items of expenditure consulting services shall be in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods Goods, and Works consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods and Works Goods, or consulting or services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause all Goods Goods, and Works consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. The proceeds of the Loan among different categories of such Goods, Works and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, all Goods and Works the Borrower shall cause the State to procure, or cause to be procured, the items of expenditure to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where Goods and Works have any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the State to cause all Goods and Works items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The closing date for withdrawals from the Loan Account Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 December 2009 March 2016 or such other date as may from time to time be agreed between the Borrower and ADB.

Withdrawals from the Loan Account shall be made only on account of expenditures relating to Eligible Items which: (a) are produced in, and are supplied from, such member countries of ADB as shall have been specified by ADB from time to time as eligible sources for procurement, and (b) meet such other eligibility requirements as shall have been specified by ADB from time to time. Section 3.05. Except as ADB may otherwise agree, the Borrower no withdrawals shall cause all Goods and Works financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The closing date for withdrawals made from the Loan Account in respect of expenditures for Eligible Items incurred more than one hundred eighty (180) days prior to the Effective Date. Section 3.06. The Loan Closing Date for the purposes of Section 9.02 8.02 of the Loan Regulations shall be 30 December April 2009 or such other date as may from time to time be agreed between the Borrower and ADB.
