Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements upon terms and conditions mutually agreeable to ADB and the Borrower. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EA, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make relend the proceeds of the Loan available to the State EVN under Financing Arrangements a Subsidiary Loan Agreement upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms and conditions for relending the proceeds of the Loan shall include interest at the rate equal to the sum of (i) the rate specified in Section 2.02 above and (ii) an onlending fee pursuant to the Borrower’s regulations. The commitment charge to be incurred in accordance with Section 2.03 and any other charge payable by the Borrower under this Loan Agreement shall be paid by EVN. (b) The Borrower shall cause the State EVN to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Goods, Works and consulting services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured by the EA, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure Goods, Works and consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The closing date for withdrawals from the Loan Closing Date Account for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2013 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make relend the proceeds of the Loan available to the State UWSCG under Financing Arrangements a Subsidiary Loan Agreement upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms for relending the proceeds of the Loan shall include interest at the same per annum rate as is payable by the Borrower to ADB under this Loan Agreement (inclusive of foreign exchange risk) and the Borrowera repayment period of 24 years including a grace period of 13 years. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this the Special Operations Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make relend the proceeds of the Loan available in the amount of sixty-nine million Dollars ($69,000,000) to Maxsustrans for the State financing of the Project under Financing Arrangements a Subsidiary Loan Agreement upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms for relending the proceeds of the Loan shall include interest and other charges at the Borrowerrates applicable to the Loan from time to time (with Maxsustrans bearing the foreign exchange risk) and a term of 25 years including a grace period of 5 years. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Use of Proceeds of the Loan. (a) The Borrower shall make relend (i) a portion of the proceeds of the Loan available amounting to not less than $107,570,000 to APSCL under the State APSCL Subsidiary Loan Agreement; (ii) a portion of the proceeds of the Loan amounting to not less than $43,460,000 to PGCB under Financing Arrangements the PGCB Subsidiary Loan Agreement; and (iii) a portion of the proceeds of the Loan amounting to not less than $41,820,000 to BREB under the BREB Subsidiary Loan Agreement, all upon terms and conditions mutually agreeable satisfactory to ADB and the BorrowerADB. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2021 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) Section 3.01. The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements upon terms SPG, and conditions mutually agreeable to ADB and the Borrower. (b) The Borrower shall cause the State to SPG, through their Finance Bureau, make the proceeds of the Loan Available to SPTD and the Project Implementing Agencies upon terms and conditions satisfactory to ADB. Except as ADB may otherwise agree, the terms for the proceeds of the Loan made available to APGCL under Onlending Arrangements mutually agreeable SPG shall include (i) commitment charge and interest at the rates identical to ADB those applied to the Loan; (ii) a repayment period including a grace period identical to those applied to the Loan; and (iii) SPTD bearing the Borrower. (c) foreign exchange and interest rate variation risks of the proceeds of the Loan made available thereto. The Borrower shall cause SPG to ensure that the State and APGCL to apply such proceeds of the Loan shall be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make relend the proceeds of the Loan available to JPG and shall cause JPG to onlend the State under Financing Arrangements proceeds to JMG upon terms and conditions mutually agreeable acceptable to ADB under a series of onlending agreements including: (i) commitment charge and interest at the Borrowerrates identical to those applied to the Loan; (ii) a repayment period including a grace period identical to those applied to the Loan; and (iii) JPG and JMG bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall cause the State JPG to make ensure that the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds are applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 31 June 2019 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements upon terms and conditions mutually agreeable to ADB and the Borrower. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL MP Transco and each of the DISCOMs under Onlending Arrangements Agreements on terms and conditions mutually agreeable acceptable to ADB ADB, the Borrower and the BorrowerState. (c) The Borrower shall cause the State and APGCL Project Executing Agencies to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 31 December 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make available or cause to be made available, the proceeds of the Loan available required for the Project to the State under Financing Arrangements for carrying out the Project upon terms and conditions as mutually agreeable to ADB and the Borrower. (b) The Borrower shall cause the State to make (i) apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreementagreement; and (ii) relend the proceeds of the Loan, together with other funds required for the Project, to the respective Project City Corporations pursuant to individual Onlending Agreements. Section 3.02. The Goods, Works and consulting services to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such Goods, Works and consulting services shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procureall Goods, or cause to be procured by the EA, the items of expenditure Works and consulting services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has Goods, Works or consulting services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure Goods, Works and consulting services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The closing date for withdrawals from the Loan Closing Date Account for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 September 2011 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements QPG upon terms and conditions mutually agreeable acceptable to ADB. QPG shall in turn make available the proceeds of the Loan to the County Governments through the Prefecture Governments upon terms and conditions acceptable to ADB. Except as ADB may otherwise agree, the terms for such transfer of the proceeds of the Loan shall include: (i) commitment charge and interest at the rates identical to those applied to the Loan; (ii) the repayment period including the grace period identical to those applied to the Loan; and (iii) QPG and the BorrowerCounty Governments bearing the foreign exchange and interest rate variation risks respectively. (b) The Borrower shall cause the State QPG to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, procure or cause to be procured by the EA, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement, as applicable. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for withdrawals from the Loan Account for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 31 March 2017 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements EA upon terms and conditions mutually agreeable to ADB and the Borrower, and shall cause the EA to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. (b) The Borrower shall cause the State EA to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, procure or cause the EA to be procured by the EA, the procure items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement, as applicable. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be are used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for withdrawals from the Loan Account for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2016 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements upon terms and conditions mutually agreeable satisfactory to ADB the Bank and the Borrower. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. (b) The Borrower shall cause the State to relend the proceeds of the Loan together with other funds required for the Project, to each Project Town pursuant to an Onlending Agreement, upon terms and conditions satisfactory to the Bank. Section 3.02. The goods, services and other items of expenditure to be financed out of the proceeds of the Loan and the allocation of amounts of the Loan among different categories of such goods, services and other items of expenditure shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADBthe Bank. Section 3.03. Except as ADB the Borrower and the Bank may otherwise agree, the Borrower shall procure, or cause to be procured by the EA, the items of expenditure all goods and services to be financed out of the proceeds of the Loan shall be procured in accordance with the provisions of Schedule 4 and Schedule 5 to this Loan Agreement. ADB The Bank may refuse to finance a contract where any such item has goods and services have not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB the Bank or where the terms and conditions of the contract are not satisfactory to ADBthe Bank. Section 3.04. Except as ADB the Borrower and the Bank may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure goods and services financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The closing date for withdrawals from the Loan Closing Date Account for the purposes of (i) Section 8.03 of the Pool-Based Loan Regulations; and (ii) Section 9.02 of the LIBOR-Based Loan Regulations Regulations, shall be 30 June 2019 2005 or such other date as may from time to time be agreed between the Borrower and ADBthe Bank.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available available, through GPG and SMG, to the State under Financing Arrangements CDG upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms on which the proceeds of the Loan shall be made available to CDG shall include (i) commitment charge and interest at the Borrowerrates identical to those applied to the Loan; (ii) the repayment period including the grace period identical to that applied to the Loan; and (iii) CDG bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall shall, through GPG and SMG, cause the State CDG to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements upon terms and conditions mutually agreeable to ADB and the BorrowerBorrower and shall cause the State to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. (b) The Borrower State shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements MPRDC upon terms and conditions mutually agreeable to ADB ADB, the Borrower and the Borrower. (c) The Borrower shall cause the State and APGCL shall cause MPRDC to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, procure or cause to be procured by the EA, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement, as applicable. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for withdrawals from the Loan Account for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2014 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available available, through SPG, to the State under Financing Arrangements WMG upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms on which the proceeds of the Loan shall be made available to WMG shall include (i) commitment charge and interest at the Borrowersame rate as that of the Loan; (ii) the same principal repayment period and grace period as that of the Loan; and (iii) WMG bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall shall, through SPG, cause the State WMG to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Use of Proceeds of the Loan. (a) The Borrower shall make available the proceeds of the Loan available to the State under Financing Arrangements upon terms and conditions mutually agreeable to ADB and the Borrower. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL HPPCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL HPPCL to apply such the proceeds of the Loan to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements upon terms and conditions mutually agreeable to ADB and the Borrower. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL HPPTCL under an Onlending Arrangements Agreement on terms and conditions mutually agreeable acceptable to ADB and the Borrower. The Borrower shall submit, or cause the State to submit, the Onlending Agreement to ADB within one month from the Effective Date. (c) The Borrower shall cause the State and APGCL HPPTCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAState/Project Executing Agency, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause, or cause the EA State/Project Executing Agency, to ensure cause that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make relend the proceeds of the Loan available to the State under Financing Arrangements Executing Agencies upon terms and conditions mutually agreeable satisfactory to ADB and the Borrower. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL Executing Agencies to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement Agreement, the OCR Loan Agreement, and the Project Agreement. (b) The Borrower shall ensure that the proceeds of the Loan are relent to the Executing Agencies in the following amounts: (i) $43,170,000 to EVN HANOI; and (ii) $56,830,000 to EVN HCMC. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 2 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this the OCR Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the ProjectSubprojects selected in accordance with the criteria and procedure set forth in paragraph 3 of Schedule 1 and paragraph 33 of Schedule 5 of the OCR Loan Agreement, respectively. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 8.02 of the Loan Regulations General Conditions shall be 30 June 2019 31 December 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements HPG upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms on which the proceeds of the Loan shall be made available to HPG shall include (i) commitment charge and interest at the Borrowerrates identical to those applied to the Loan, (ii) the repayment period including the grace period identical to those applied to the Loan, and (iii) HPG bearing the foreign exchange and interest rate variation risk. (b) The Borrower shall cause the State HPG to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the terms on which the proceeds of the Loan shall be made available to YMG shall include (i) commitment charge and interest at the Borrowerrates identical to those applied to the Loan; (ii) the repayment period including the grace period identical to that applied to the Loan; and (iii) YMG bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall shall, through HPG, cause the State YMG to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. Use of Proceeds of the Loan. (a) Section 3.01. The Borrower shall make the proceeds of the Loan available available, through HPG and ETMAPG, to the State under Financing Arrangements Enshi City Government and Lichuan City Government upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB and may otherwise agree, the Borrower. (b) The Borrower shall cause the State to make terms for the proceeds of the Loan made available shall include (i) commitment charge and interest at the rates identical to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds those applied to the financing Loan; (ii) a repayment period including a grace period identical to those applied to the Loan; and (iii) Enshi City Government and Lichuan City Government bearing the foreign exchange and interest rate variation risks of expenditures on the Project in accordance with proceeds of the provisions of this Loan Agreement and the Project Agreementmade available thereto. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 31 January 2021 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make available a part of the proceeds of the Loan available to the State each Participating Pourashava under a Subsidiary Financing Arrangements Agreement upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB shall otherwise agree, (i) for revenue-generating Subprojects, financing shall be provided in a blend of grant and loan in such proportions as are satisfactory to ADB; the Borrowerterms for relending the loan portion shall include denomination in Taka, interest at the rate of 6% per annum, with the Borrower bearing foreign exchange risk, and a repayment period of 20 years including a grace period of 5 years; and (ii) for Subprojects other than those mentioned in subparagraph (i) above, financing shall be on a 100% grant basis. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 8.02 of the Loan Regulations shall be 30 June 2019 31 December 2020 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available available, through GPG, to the State under Financing Arrangements JMG upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms on which the proceeds of the Loan shall be made available to JMG shall include (i) commitment charge and interest at the Borrowerrates identical to those applied to the Loan; (ii) the repayment period including the grace period identical to that applied to the Loan; and (iii) JMG bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall shall, through GPG, cause the State JMG to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 31 December 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make relend the proceeds of the Loan available to the State Uzbekenergo under Financing Arrangements a Subsidiary Loan Agreement upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms of the Subsidiary Loan Agreement shall include interest at the rate applicable to the Loan from time to time (with Uzbekenergo bearing the foreign exchange risk) and the Borrowera term of 25 years including a grace period of 5 years. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2015 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements YPG upon terms and conditions mutually agreeable satisfactory to ADB and shall cause YPG to apply such proceeds to the Borrowerfinancing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Except as ADB may otherwise agree, the terms for the proceeds of the Loan made available to YPG shall include (i) a commitment charge and interest at the rates identical to those applied to the Loan; (ii) a repayment period including a grace period identical to that applied to the Loan; and (iii) YPG bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall cause the State to make through YPG ensure that YPDOT and YHAB shall apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 31 March 2019 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) Section 3.01. The Borrower shall make cause the proceeds of the Loan available to the State under Financing Arrangements upon terms and conditions mutually agreeable to ADB and the Borrower. (b) The Borrower shall cause the State to make the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds be applied to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The Borrower shall ensure that the portion of the Loan to be used to finance expenditures under Output 1 is made available to Beneficiaries on a grant basis under Barangay Subproject Implementation Agreements upon terms and conditions agreed between the EA and ADB. Section 3.03. Except as ADB may otherwise agree, the proceeds of the Loan which are to be used to finance expenditures under Output 1 shall only be used to finance planning or investment grants and shall be applied exclusively to the cost of Goods, Works and Consulting Services and other items of expenditures required to carry out such grants. Section 3.04. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.033.05. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.043.06. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.053.07. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2018 or such other date as may from time to time be agreed between the Borrower and ADB.

Use of Proceeds of the Loan. (a) The Borrower shall make the proceeds of the Loan available to the State under Financing Arrangements IMAR upon terms and conditions mutually agreeable satisfactory to ADB. Except as ADB may otherwise agree, the terms on which the proceeds of the Loan shall be made available to IMAR shall include (i) commitment charge and interest at the Borrowerrates identical to those applied to the Loan; (ii) the repayment period including the grace period identical to that applied to the Loan; and (iii) IMAR bearing the foreign exchange and interest rate variation risks. (b) The Borrower shall shall, through IMAR, cause the State IMDT to make apply the proceeds of the Loan available to APGCL under Onlending Arrangements mutually agreeable to ADB and the Borrower. (c) The Borrower shall cause the State and APGCL to apply such proceeds to the financing of expenditures on the Project in accordance with the provisions of this Loan Agreement and the Project Agreement. Section 3.02. The proceeds of the Loan shall be allocated and withdrawn in accordance with the provisions of Schedule 3 to this Loan Agreement, as such Schedule may be amended from time to time by agreement between the Borrower and ADB. Section 3.03. Except as ADB may otherwise agree, the Borrower shall procure, or cause to be procured by the EAprocured, the items of expenditure to be financed out of the proceeds of the Loan in accordance with the provisions of Schedule 4 to this Loan Agreement. ADB may refuse to finance a contract where any such item has not been procured under procedures substantially in accordance with those agreed between the Borrower and ADB or where the terms and conditions of the contract are not satisfactory to ADB. Section 3.04. Except as ADB may otherwise agree, the Borrower shall cause the EA to ensure that all items of expenditure financed out of the proceeds of the Loan to be used exclusively in the carrying out of the Project. Section 3.05. The Loan Closing Date for the purposes of Section 9.02 of the Loan Regulations shall be 30 June 2019 2018 or such other date as may from time to time be agreed between the Borrower and ADB.
