Use of Subconsultants. a. Consultant shall give advance written notification to UTA of any proposed subcontract (not indicated in Consultant’s Proposal) negotiated with respect to the Work. UTA shall have the right to approve all subconsultants, such approval not to be withheld unreasonably. b. No subsequent change, removal or substitution shall be made with respect to any such subconsultant without the prior written approval of UTA. c. Consultant shall be solely responsible for making payments to subconsultants, and such payments shall be made within thirty (30) days after Consultant receives corresponding payments from UTA. d. Consultant shall be responsible for and direct all Work performed by subconsultants. e. Consultant agrees that no subcontracts shall provide for payment on a cost-plus-percentage-of- cost basis. Consultant further agrees that all subcontracts shall comply with all applicable laws.
