Use of Supplied Materials. The Subcontractor must ensure that the Subcontractor Representatives only use Supplied Materials for the purpose of performing the relevant Services or Work under a Work Order in accordance with the Agreement. The Subcontractor acknowledges and agrees that: a. the Subcontractor must not lend, transfer, sell, hire or lease the Supplied Materials to any other person or entity without the prior written consent of Tandem (and where consent is provided, update any relevant Systems to record such transactions ; and b. usage of all Supplied Materials will be monitored and audited by Tandem and the Subcontractor will be notified of the Subcontractor usage from time to time. It is the Subcontractor’s responsibility to ensure its Representatives have enough Supplied Materials (acting reasonably) to carry out the Services in accordance with the requirements set out in the Agreement and this FOM.
