Common use of Use of the Name BlackRock Clause in Contracts

Use of the Name BlackRock. Adviser has consented to the use by the Fund of the name or identifying word “BlackRock” in the name of the Fund and the Portfolios. Such consent is conditioned upon the employment of Adviser as the investment adviser to the Portfolios. The name or identifying word “BlackRock” may be used from time to time in other connections and for other purposes by Adviser and any of its affiliates. Adviser may require the Fund to cease using “BlackRock” in the name of the Fund and the Portfolios if the Fund (or any Portfolio) ceases to employ, for any reason, Adviser, any successor thereto or any affiliate thereof as investment adviser of the Portfolios.

Use of the Name BlackRock. Adviser The Advisor has consented to the use by the Fund Trust of the name or identifying word “BlackRock” in the name of the Fund Trust and the PortfoliosFund. Such consent is conditioned upon the employment of Adviser the Advisor as the investment adviser advisor to the PortfoliosFund. The name or identifying word “BlackRock” may be used from time to time in other connections and for other purposes by Adviser the Advisor and any of its affiliates. Adviser The Advisor may require the Trust and the Fund to cease using “BlackRock” in the name of the Fund Trust and the Portfolios Fund, if the Fund (or any Portfolio) ceases to employ, for any reason, Adviserthe Advisor, any successor thereto or any affiliate thereof as investment adviser advisor of the PortfoliosFund. If so required by the Advisor, the Fund will cease using “BlackRock” in its name as promptly as practicable and make all reasonable efforts to remove “BlackRock” from its name including calling a special meeting of shareholders.

Adviser The Advisor may require the a Fund to cease using “"BlackRock” " in the name of the Fund Master LLC and the Portfolios Funds if the Fund (or any Portfolio) ceases Funds cease to employ, for any reason, Adviserthe Advisor, any successor thereto or any affiliate thereof as investment adviser advisor of the PortfoliosFunds.

Use of the Name BlackRock. Adviser has consented to the use by the Fund Corporation of the name or identifying word “BlackRock” in the name of the Fund Corporation and the Portfolioseach Fund. Such consent is conditioned upon the employment of Adviser as the investment adviser to the Portfolioseach Fund. The name or identifying word “BlackRock” may be used from time to time in other connections and for other purposes by Adviser and any of its affiliates. Adviser may require the Fund Corporation to cease using “BlackRock” in the name of the Corporation and each Fund and the Portfolios if the Fund Corporation (or any PortfolioFund) ceases to employ, for any reason, Adviser, any successor thereto or any affiliate thereof as investment adviser of the Portfolioseach Fund.
