User Accounts. Customer is responsible for all activity occurring under its User accounts. Customer will (i) use commercially reasonable efforts to prevent unauthorized access to or use of the Subscription Service and promptly notify PROS of any such unauthorized access or use; and (ii) cooperate with any reasonable investigation by PROS of any outage, security problem or suspected breach of these Terms or any Order.

User Accounts. Customer is responsible for all actions on Users’ accounts and for Users’ compliance with this Agreement. Customer and Users must protect the confidentiality of their passwords and login credentials. Customer will promptly notify Provider if it suspects or knows of any fraudulent activity with its accounts, passwords, or credentials, or if they become compromised.

User Accounts. You shall authorize access to and assign unique passwords and user names to Your users. You will be responsible for the confidentiality and use of Your users passwords and user names. You will also be responsible for all Electronic Communications, including those containing business information, account registration, account holder information, financial information, Your Information, and all other data of any kind contained within emails or otherwise entered electronically through the NetSuite Cloud Services or under Your Demo Account. Oracle will act as though any Electronic Communications it receives under Customer’s passwords, user name, and/or account number will have been sent by You. You shall use commercially reasonable efforts to prevent unauthorized access to or use of the NetSuite Cloud Services and shall promptly notify Oracle of any unauthorized access or use of the NetSuite Cloud Services and any loss or theft or unauthorized use of any user’s password or name and/or NetSuite Cloud Services account numbers.

User Accounts. Solely with regard to Demonstration Accounts for NetSuite Branded Oracle Services, Section 4 of the Agreement is deleted in its entirety and shall be replaced with the following Oracle may provide You passwords and/or other access information which allows You to access the Oracle content (“logins”) under the Oracle order. Logins may only be used for the sole purpose of accessing and using the Oracle content as provided in the Oracle order. You are responsible for maintaining the confidentiality of the logins and account information provided by Oracle. You are responsible for all activities that occur under the logins or accounts provided by Oracle or as a result of Your access to the Oracle content. You will promptly notify Oracle with reasonable security details if (a) additional logins are needed for the Oracle content, (b) particular logins provided by Oracle are no longer being used or need to be replaced or (c) the security of any logins or accounts provided by Oracle have been compromised, including but not limited to the unauthorized use or disclosure of the logins or user accounts provided by Oracle.

User Accounts. If our website allows the creation of a user account of any type, you agree to be responsible for safeguarding its information including account data, connected e-mails, passwords, and any other personal information located therein. If you are made aware of any breach of unauthorized use of the account, to notify us as soon as possible. Furthermore, you agree not to disclose any password created with any 3rd party other than secured services used to assist with saving passwords on your behalf. If the creation of a username is allowed when making an account, such username must be appropriate for public viewing and not violate any trademark, copyright, or other protected names or marks.

If connecting a social media profile with the website, it is acknowledged that you may be required to disclose its login information or grant us access. Such disclosure or access is within the terms of use of the social media profile, and you understand that: We may access, make available, and store (if applicable) any content that you have provided to and stored in your social media profile so that it is available on and through the website via your account, including without limitation any contacts; We may submit and receive data, which may include personal information, to your social media profile upon its connection to the website; That you have the ability, at any time, to disable the connection between the website and the social media profile; and That the relationship between you and your social media profile is governed solely by its terms of use, and in no way does this Agreement amend your rights and responsibilities unless otherwise stated. Due to the policies commonly mentioned in a social media company’s terms of use, we make no effort to review any content produced through the connection of a social media profile unless notified by other users, a 3rd party, or another event that triggers a review of the account.

User Accounts. Customer is responsible for activity occurring under its User accounts and shall ensure that it and its Users abide by all laws, treaties and regulations applicable to Customer’s use of the Hosted Applications. Customer shall: (i) notify Coupa promptly of any unauthorized use of any password or account or any other breach of security;

User Accounts. As applicable upon entering into a Purchase Order Agreement, Client shall provide a list of Client Personnel that are authorized by Client to both (i) access and use Equisolve’s content management system (for the avoidance of doubt, the content management system includes the related data feeds, automation functionality, and the Equisolve-provided Analytics Services) (the “CMS”) and (ii) submit instructions to Equisolve in relation to the Services ((i) and (ii), collectively, an “Authorized User”). Equisolve shall then create an account for each Authorized User for access to, and use of, the CMS. As between the Parties, Client is solely responsible and liable for (a) instructions given to Equisolve by Authorized Users, (b) access to, and use of, Authorized Users’ accounts or email addresses (except to the extent any unauthorized access or unauthorized use of such Authorized Users’ accounts is caused by Equisolve’s violation of Equisolve’s obligations in the Data Protection Addendum), and (c) violations by Client, Authorized Users, or Client Personnel of the use limitations set forth in Article 5 below. Client shall not, and shall not permit Authorized Users to, share or otherwise provide Authorized User account information with or to any third party (including other Authorized Users to whom such account information does not pertain). If Client requires other Client Personnel to access the CMS, Client must request that Equisolve create an account for each such other Client Personnel (and, upon Equisolve creating such accounts, each such other Client Personnel shall also become Authorized Users, respectively). For purposes of this Agreement, “Personnel” means the affiliates, officers, employees, agents, contractors, consultants, vendors, or representatives of a Party or a Party’s affiliates.

User Accounts. 5.1 You may need to register an account with us in order to use or access some of the Services on the Covered Sites and also to generate content on the Covered Sites. 5.2 To be eligible to register an account with us, you must be at least 18 years of age. 5.3 By registering an account with us, or by logging-in using your existing phone number, email id etc (“User Registration”); you represent and warrant that all information you submit is true, accurate and complete and you shall comply with these Terms of Use. You further represent and warrant that: (a) all required registration information you submit is truthful, accurate and complete; and (b) you will maintain the accuracy of such information. 5.4 If you are registering on the Covered Sites you have to provide limited information like your name, phone number, email address etc. However, if you are willing to avail any of the services then additional details like name, address, PAN etc will be required. 5.5 You will be solely responsible for maintaining the confidentiality of your User Registration and log-in details and we will not be responsible for misuse of your User Registration by any third party, whether authorized by you or not. You may never use another user’s account without permission. You are also prohibited from sharing your log-in details and let anyone access your account, or do anything that might put your account at risk. 5.6 You are responsible for any activity on the Covered Sites arising out of any failure to keep your User Registration confidential, and may be held liable for any losses arising out of such a failure. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. 5.7 Asva Labs reserves the right to refuse to offer access to or use of the Covered Sites to any person or entity at their sole discretion including by changing its eligibility criteria at anytime. 5.8 Asva Labs may (a) suspend your User Registration; (b) cancel your User Registration, and/or
