Common use of Utilisation fee Clause in Contracts

Utilisation fee. (a) There shall be no utilisation fee payable to the Facility Agent for each day on which the aggregate amount of the Loans is equal to or less than 50 per cent. of the Total Commitments. (b) The Company or the Obligors (other than the Company) must pay to the Facility Agent for each Lender a utilisation fee computed at the rate of, for each day on which the aggregate amount of the Loans exceeds 50 per cent. of the Total Commitments, 0.07 per cent. per annum. (c) Utilisation fee is payable on the amount of each Lender’s share in the Loans. (d) Accrued utilisation fee is payable quarterly in arrear and calculated on a 360 day basis on each day on the amount of the Loans outstanding. Accrued utilisation fee is also payable to the Facility Agent for a Lender on the date that its Commitment is cancelled and its share in the Loans prepaid or repaid in full.

(cb) Utilisation fee is payable on the amount of each a Lender’s share in the relevant Loans. (dc) Accrued utilisation fee is payable quarterly in arrear and in Dollars, calculated on a 360 day basis on each day at the Agent’s Spot Rate of Exchange for Dollars on the amount of the Loans outstandingdue date. Accrued utilisation fee is also payable to the Facility Agent for a Lender on the date that its Commitment is cancelled and its share in the Loans prepaid or repaid in full.
