Common use of Valid and Binding Indenture Clause in Contracts

Valid and Binding Indenture. The Trustee has duly executed and delivered this Indenture, each Series Supplement, each other Basic Document and each Series Related Document to which it is a party, and each of this Indenture, any Series Supplement, each other Basic Document and each other Series Related Document constitutes the legal, valid and binding obligation of the Trustee enforceable against the Trustee in accordance with its terms, except as (i) such enforceability may be limited by bankruptcy, insolvency, reorganization and similar laws relating to or affecting the enforcement of creditors' rights generally and (ii) the availability of equitable remedies may be limited by equitable principles of general applicability.
