Valid Execution and Delivery. This Binding Pledge has been duly executed and delivered by Owner, and constitutes the legal, valid, and binding obligations of Owner, and its successors and assigns, enforceable against the then party interest with regard to the ownership of the Property at the time of any enforcement action, in accordance with its terms.
