Validity; Binding Nature. This Agreement and all instruments and documents to be delivered by the Seller hereunder each have been or will be duly executed and delivered by the Seller, and each now, and thereupon, will constitute the legal, valid and binding obligation of the Seller, enforceable against the Seller in accordance with its terms, except as the same may be subject to or limited by bankruptcy, insolvency, reorganization, arrangement, moratorium and other similar laws relating to or affecting the rights of creditors generally and principles of equity.
