Variation and assignment. 48.1 Save where Clause 3.3 applies, no variation of this Agreement shall be valid unless it is in writing and signed by or on behalf of each Party. 48.2 No Party may assign, grant any security interest over, hold on trust or otherwise transfer the benefit of, or its rights under, the whole or any part of this Agreement without the prior written consent of the other Party (such consent not to be unreasonably withheld or delayed). 48.3 Any purported assignment, declaration of trust, transfer, sub-contracting, delegation, charging or dealing in contravention of Clause 48.2 is ineffective.
