Common use of Variation in General Clause in Contracts

Variation in General. 1.1 Subject to Clause 32.2 (Legislative Change) below and Framework Agreement Schedule 3 (Charging Structure), this Framework Agreement may not be varied except where: (a) the Authority notifies the Supplier that it wishes to vary the terms of this Framework Agreement and provides the Supplier with full written details of any such proposed change; and (b) the Authority’s Representative and the Supplier’s Representative acting reasonably, agree to the variation and a written variation agreement is signed by the Authority’s Representative and the Supplier’s Representative.
