Verify Conformity with Acquisition Criteria Clause Samples

The 'Verify Conformity with Acquisition Criteria' clause establishes the requirement that any asset, service, or entity being acquired must be evaluated to ensure it meets predefined standards or conditions set out in the agreement. In practice, this may involve conducting due diligence, inspections, or reviews to confirm that the subject of the acquisition aligns with agreed-upon specifications, such as financial thresholds, operational capabilities, or regulatory compliance. The core function of this clause is to protect the acquiring party by ensuring that what is being acquired matches expectations and contractual requirements, thereby reducing the risk of post-acquisition disputes or unforeseen liabilities.
