Violation by Executive. If it is determined by an arbitration proceeding or a final non-appealable judgment of a court of law or equity that Executive has breached Article 8 in a material manner the Company shall be relieved of further severance payments to Executive, and Executive shall repay to the Company all severance payments previously received.
