Common use of Violation by Executive Clause in Contracts

Violation by Executive. In the event that Executive violates any material term of this Release Agreement, AMERIGROUP shall have the right to terminate any or all of its commitments herein and to recover any monies or other considerations previously provided to Executive under the Employment Agreement and to pursue any other remedies available to AMERIGROUP. Notwithstanding the foregoing, the Company’s recovery under this section shall be limited to its actual losses.

In the event that Executive violates any material term of the terms of this Release Agreement, AMERIGROUP shall have the right to terminate any or all of its commitments herein and under the Retirement and Consulting Agreement and to recover any monies or other considerations previously provided to Executive under the Employment Agreement and to pursue any other remedies available to AMERIGROUP. Notwithstanding the foregoing, the Company’s recovery under this section shall be limited to its actual losses.
