Virtual Data Room. As soon as practicable after the date of this Agreement, and in any event no later than fifteen (15) days after the date of this Agreement, the Seller will deliver to the Purchaser one or more USB drives containing a true, correct and complete electronic copy of the virtual data room maintained by Datasite with respect to “Project ▇▇▇▇▇▇▇▇” as it exists at the time of the execution of this Agreement (the “Virtual Data Room”).

There has been no change to the Data Room Information or any other information provided to the Purchaser, that would reasonably have a material adverse effect on the Company, since the date posted to the Data Room website or provided to the Purchaser, as the case may be that is material, except as has been disclosed by the Seller and/or the Company, or in a more recently posted document in the Data Room or other information provided to the Purchaser.
Virtual Data Room. Seller shall promptly after the Closing Date provide to Buyer CD-ROMs with the contents of the Citigroup virtual data room assembled in connection with the transactions contemplated by the Stock Purchase Agreement.
