Common use of Void or unenforceable restrictions Clause in Contracts

Void or unenforceable restrictions. Without prejudice to Sub-Clause 7.5, if any restriction or undertaking is found by any court or other competent authority to be void or unenforceable the parties shall negotiate in good faith to replace such void or unenforceable restriction or undertaking with a valid provision which, as far as possible, has the same legal and commercial effect as that which it replaces.
