Volume Fees. Unless otherwise agreed in a Quote, if Customer exceeds the Contractual Use specified in the Quote, HiveMQ will charge Customer at the Volume Fee rate specified in the Quote for any use of HiveMQ Software over the Contractual Use (“Excess Volume”). Volume Fees for Excess Volume will be reviewed and invoiced quarterly in arrears. Excess Volume will be reviewed annually at the end of each Contract Year, and following such review, the amount of Excess Volume will be automatically added to the Contractual Use, and the Subscription Fee will be increased by an amount equal to the associated Volume Fees, for all future Contract Years unless Customer notifies HiveMQ in writing, prior to the end of the relevant Contract Year, that Customer expects its usage volume will decrease under the Contractual Use level going forward. For clarity, Volume Fees are annual fees and will be prorated accordingly. In case the Parties have not agreed upon Volume Fees in the applicable Quote, Customer shall promptly execute a Quote covering the Excess Volume.

Volume Fees. In consideration of the financing business which may be generated by Credit as a result of this Agreement, Credit shall pay to Clar▇ ▇▇ the fifteenth day of each month an amount equal to .25% on the previous month's combined net volume of: (i) Rental Financing (excluding any such financing which relates to or comes under that certain Agreement dated 23 January 1987 between CRS and Clar▇, ▇▇ successor-in-interest to Clar▇ ▇▇▇ipment Company), and (ii) Retail Financing (the total of (i) - (ii) being hereafter referred to as "Finance Volume"). This .25% service fee percentage shall be applicable for the initial $100 million of Finance Volume during any calendar year. The fee percentage shall be increased to .30% for the Finance Volume in excess of $100 million during any calendar year. 2. Except as herein specifically amended, the terms and conditions of the Operating Agreement as amended shall remain unchanged and shall continue in full force and effect.

  • Program Fees Stripe will provide the Issuing Platform Services to you and the Stripe Issuing Services to Stripe Issuing Accountholders at the rates and for the fees described on the Stripe Pricing Page, unless you and Stripe otherwise agree in writing. In addition to the fees, you are also responsible for any penalties imposed on you or Stripe in relation to your use of the Issuing Platform Services. Fees and penalties may include periodic fees, foreign transaction fees, penalties for misuse, funds transfer fees, account maintenance fees, Card issuance or replacement fees, and penalties for late or failed payments. All fees or penalties you owe are in addition to amounts owed for Card Transactions and Card accounts associated with each Stripe Issuing Account. Stripe may change fees or penalties by providing Stripe Issuing Accountholder advance notice before revisions become applicable to Stripe Issuing Accountholder, subject to Law.

  • Referral Fees If the CLIENT was introduced to the ADVISER through a Solicitor, the ADVISER may pay that Solicitor a referral fee in accordance with Rule 206(4)-3 of the Investment Advisers Act of 1940. The referral fee shall be paid solely from Adviser Compensation as defined in this Agreement, and shall not result in any additional charge to the CLIENT. The CLIENT acknowledges receipt of the written disclosure statement disclosing the terms of the solicitation arrangement between the ADVISER and the Solicitor, including the compensation to be received by the Solicitor from the ADVISER.
