Volume Threshold Clause Samples

A Volume Threshold clause sets a minimum or maximum quantity of goods or services that must be purchased, sold, or delivered under a contract. In practice, this clause might require a buyer to purchase at least a certain number of units within a specified period, or it could cap the amount a supplier is obligated to provide. Its core function is to provide certainty and manage expectations for both parties by clearly defining the volume commitments, thereby reducing the risk of under- or over-supply.
Volume Threshold. In connection with an Advance Notice where the Company selects an Option 1 Pricing Period, if the total number of Common Shares traded on the Principal Market during the applicable Pricing Period is less than the Volume Threshold, then the number of Advance Shares issued and sold pursuant to such Advance Notice shall be reduced to the greater of (a) 30% of the trading volume of the Common Shares on the Principal Market during such Pricing Period as reported by Bloomberg L.P., or (b) the number of Common Shares sold by the Investor during such Pricing Period, but in each case not to exceed the amount requested in the Advance Notice.
Volume Threshold. In connection with an Advance Notice where the Company selects an Option 1 Pricing Period, if the total number of Common Shares traded on the Principal Market during the applicable Pricing Period is less than the Volume Threshold, then the number of Shares issued and sold pursuant to such Advance Notice shall be reduced to the greater of (a) 30% of the trading volume of the Common Shares on the Principal Market during such Pricing Period as reported by Bloomberg L.P. and (b) the number of Common Shares sold by the Investor during such Pricing Period.
Volume Threshold. In connection with an Advance, if the total number of Ordinary Shares traded on the Principal Market during the applicable Pricing Period is less than the Volume Threshold, then the number of Advance Shares issued and sold pursuant to such Advance Notice shall be reduced to the greater of (a) 30% of the trading volume of the Ordinary Shares on the Principal Market during such Pricing Period as reported by Bloomberg L.P., or (b) the number of Ordinary Shares sold by the Investor during such Pricing Period (such reduced number of Advance Shares, the “Reduced Advance”), but in each case not to exceed the amount requested in the Advance Notice.
Volume Threshold. For [**..**] of the Agreement, if Customer fails to achieve [**..**] of the [**..**] Volume Threshold as set forth in paragraph 6 during the [**..**] measurement period, Customer shall pay to Sabre an amount equal to the prevailing average booking fee that Sabre charges to airlines that participate in the Sabre System multiplied by the difference between the [**..**] Volume Threshold and the actual Sabre Bookings at all of Customer's locations. Measurement of the [**..**] Volume Threshold shall be performed by Sabre on an [**..**] basis commencing on the Effective Date of the Agreement. For purposes of calculating the shortfall in each subsequent year of the Agreement, Customer must achieve [**..**] of the previous year's actual SABRE Bookings (the "Reset [**..**] Volume Threshold") or pay to Sabre an amount equal to the prevailing average booking fee that Sabre charges to airlines that participate in the Sabre System multiplied by the difference between the Reset [**..**] Volume Threshold and the actual Sabre Bookings at all of Customer's locations.
Volume Threshold. In connection with an Advance Notice, if the total number of ADSs traded on the Principal Market during the applicable Pricing Period is less than the Volume Threshold, then the number of Advance Shares issued and sold pursuant to such Advance Notice shall be reduced to the greater of (a) 25% of the trading volume of the ADSs on the Principal Market during the Pricing Period as reported by Bloomberg L.P., or (b) the number of ADSs sold by the Investor during such Pricing Period, but in each case not to exceed the amount requested in the Advance Notice.
Volume Threshold. A Market Maker must provide a Volume Threshold by which the System will automatically remove a Market Maker's quotes in all series of an options class when the Market Maker executes a number of contracts which exceeds the designated number of contracts in all series in an options class.
