Common use of Voluntary Termination Clause in Contracts

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' written notice to the Company, voluntarily terminate employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time), provided that any termination by the Executive pursuant to Section 6(d) on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b).

Voluntary Termination. Upon such a voluntary termination termination, Executive shall have no further rights against the Company hereunder, except for the right to receive: (i) any unpaid Base Salary with respect to the period prior to the effective date of termination; and (ii) reimbursement of expenses to which Executive is entitled under this Section 6(b4(d).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' written notice to the Company, may voluntarily terminate employment for any reason (including early retirement under the terms of any of retirement plan maintained by the Company's retirement plans Company or an Affiliate, as in effect from time to time), upon not less than 60 days' written notice to the Company, provided that any termination by the Executive pursuant 7 9 to Section 6(d) hereof on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' written notice to the Company, may voluntarily terminate her employment hereunder for any reason (including early retirement under and at any time after giving at least 30 days prior written notice thereof to the terms of any of the Company's retirement plans as in effect from time to time), provided that any termination by the Executive pursuant to Section 6(d) on account of Good Reason (as defined therein) shall not be treated as Board. Upon such a voluntary termination termination, Executive shall have no further rights against the Company hereunder, except for the right to receive: (i) any unpaid Base Salary with respect to the period prior to the effective date of termination; and (ii) reimbursement of expenses to which Executive is entitled under this Section 6(b4(d).

In such event, after the effective date of such termination, except as provided in Section 2.1 with respect to a resignation for Good Reason, no further payments shall be due under this Agreement, except that Executive shall be entitled to any benefits accrued and due in accordance with the terms of any applicable benefit plans and programs of the Company's retirement plans as in effect from time to time), provided that any termination by the Executive pursuant to Section 6(d) on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b).

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 10 days' written notice to the Company, voluntarily terminate his employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time), provided that any termination by the Executive pursuant to Section 6(d) on account of Good Reason (as defined therein) shall not be treated as a voluntary vol- untary termination under this Section 6(b).

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 10 days' written notice to the Company, voluntarily terminate his employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time), provided that PROVIDED THAT any termination by the Executive pursuant to Section 6(d) on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' 10 business days written notice to the CompanyEmployer, voluntarily terminate her employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time)reason; provided, provided however, that any termination by the Executive pursuant to Section 6(d) on account of Good Reason (as defined therein4(d) shall not be treated as a voluntary termination under this Section 6(b4(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' ’ written notice to the CompanyCorporation, voluntarily terminate employment during the Employment Period for any reason (including early or normal retirement under the terms of any of the Company's Corporation’s retirement plans plan as in effect from time to time), provided that any termination by the Executive pursuant to Section 6(d) of this Agreement on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' written notice to the Company, voluntarily terminate his employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time), provided that any termination by the Executive pursuant to Section 6(d5(d) on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b5(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control contrary the Executive may, upon not less than 30 15 days' advance written notice to the Company, voluntarily terminate employment during the Retention Period for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time)reason, provided that any termination by the Executive pursuant to Section 6(d) of this Agreement on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' written notice to the Company, voluntarily terminate employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time), provided that PROVIDED THAT any termination by the Executive pursuant to Section 6(d5(d) on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b5(b).

Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 ninety (90) days' ’ written notice to the Company, voluntarily terminate employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time)reason, provided that any termination by the Executive pursuant to Section 6(d7(d) on account of Good Reason (as defined therein) shall not be treated as a voluntary termination under this Section 6(b7(b).

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' written notice to the Company, may voluntarily terminate employment for any reason (including early retirement under pursuant to any retirement plan of the terms of Company or any of the Company's retirement plans its Exhibit 10.56 Affiliates as in effect from time to timetime and applicable to the Executive), upon not less than 60 days' written notice (or such lesser period of notice as the Company shall specify) to the Company or the entity employing the Executive, as applicable; provided that any termination by the Executive pursuant to Section 6(d) hereof on account of Good Reason (as defined thereinbelow) shall not be treated as a voluntary termination under this Section 6(b).

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 days' written notice to the Company, may voluntarily terminate employment during the Employment Period for any reason (including early retirement under the terms of any of the Company's (or Affiliate's, as applicable) retirement plans as in effect from time to time), upon not less than 60 days' written notice to the Company, provided that any termination by the Executive pursuant to Section 6(d) hereof on account of Good Reason (as defined therein) or pursuant to Section 6(e) hereof during the Special Window Period shall not be treated as a voluntary termination under this Section 6(b).

Voluntary Termination. Notwithstanding anything in this Agreement to the contrary, following a Change of Control the Executive may, upon not less than 30 60 days' written notice to the Company, voluntarily terminate employment for any reason (including early retirement under the terms of any of the Company's retirement plans as in effect from time to time), provided that any termination by the Executive pursuant to Section 6(d) on account of Good Reason (as defined therein) shall not be be, treated as a voluntary termination under this Section 6(b).
