Voting Agreement and Proxy Sample Clauses
A Voting Agreement and Proxy clause establishes an arrangement where certain parties agree to vote their shares or interests in a specified manner, often by granting another party the authority to vote on their behalf. In practice, this clause may require shareholders to vote in favor of board nominees or key corporate actions, and can include the appointment of a proxy holder who casts votes according to the agreement's terms. The core function of this clause is to ensure coordinated voting, which can help maintain control, achieve specific governance outcomes, or facilitate major transactions by reducing uncertainty around shareholder decisions.
