Voting at Meetings of Stockholders. (a) At the 2009 Annual Meeting, the ▇▇▇▇▇▇▇ Group shall cause all of the shares of the Company common stock beneficially owned by it to be present for quorum purposes and to be voted: (i) For each of (A) the Nominees and (B) the other candidates recommended by the Board in the Schedule 14A filed by the Company with the SEC for election to the Board (the "Company Nominees"); provided that the Company Nominees are each either current members of the Board or otherwise reasonably acceptable to the ▇▇▇▇▇▇▇ Group; and (ii) for the ratification of the selection of the Company's independent auditors.
