Voting Rights; Voting Agreement; Proxy Voting Rights. (a) Except as otherwise provided in this Section 5.2 or as otherwise required by Applicable Law, each Member shall be entitled to one vote per Unit held by such Member in connection with the election of Managers and on all matters to be voted upon by the Members of the Company.
