Common use of Waiver by the Collateral Agent Clause in Contracts

Waiver by the Collateral Agent. No waiver by the Collateral Agent of, or consent by the Collateral Agent to, a variation from the requirements of any provision of this Agreement shall be effective unless made in a written instrument duly executed on behalf of the Collateral Agent by its duly authorized officer, and any such waiver shall be limited solely to those rights or conditions expressly waived. No failure on the part of the Collateral Agent to exercise, and no course of dealing with respect to, and no delay in exercising, any right, power or remedy hereunder shall operate as a waiver thereof; nor shall any single or partial exercise by the Collateral Agent of any right, power or remedy hereunder preclude any other or further exercise thereof or the exercise of any other right, power or remedy. The remedies herein are cumulative and are not exclusive of any remedies provided by law.
