Waiver of Liability for Legacy Devices Clause Samples

The Waiver of Liability for Legacy Devices clause serves to release one party from responsibility for damages or losses arising from the use of older or outdated equipment. In practice, this clause typically applies when a company continues to use devices that are no longer supported or maintained by the manufacturer or service provider, and it clarifies that any malfunctions, failures, or security breaches involving such legacy devices are not the liability of the provider. Its core function is to allocate risk by ensuring that the party choosing to use legacy devices assumes responsibility for any issues that may result from their continued use.
Waiver of Liability for Legacy Devices. As used herein, “Legacy Device” means a piece of equipment, device, hardware, or software that is outdated, obsolete, incompatible with industry-standards, and/or no longer supported by its original manufacturer. Legacy Devices may cause vulnerabilities in your network, or they may fail from time to time or cause other parts or processes of the Environment to operate improperly or (in some cases) fail. Neither we nor any Third Party Provider will be responsible for the remediation of issues arising from or related to the existence or use of Legacy Devices in the Environment, and we and our Third Party Providers will be held harmless from and against all issues, claims, and causes of action arising from or related to the existence or use of Legacy Devices in the Environment. We strongly advise you to review your company’s insurance policies to determine the extent to which the existence of Legacy Devices in the Environment would create an exclusion of insurance coverage in the event of a security-related incident.
