Common use of Waiver of Subrogation, Etc Clause in Contracts

Waiver of Subrogation, Etc. Notwithstanding anything to the contrary in this Agreement or in any other Loan Document, and except as set forth in Section 11.07, each Co-Borrower hereby expressly and irrevocably waives any and all rights at law or in equity to subrogation, reimbursement, exoneration, contribution, indemnification or set off and any and all defenses available to a surety, guarantor or accommodation co-obligor. Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s liability hereunder or the enforceability of this Article XI, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.04.

Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Term Agent and Term Lenders and shall not limit or otherwise affect such Co-Borrower’s 's liability hereunder or the enforceability of this Article XISection 13B, and that the Administrative Term Agent, Term Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0413B.4.

Notwithstanding anything to the contrary in this Agreement or in any other Loan Document, and except as set forth in Section 11.0713.02(g) , each Co-Borrower hereby expressly and irrevocably waives any and all rights at law or in equity to subrogation, reimbursement, exoneration, contribution, indemnification or set off and any and all defenses available to a surety, guarantor or accommodation co-obligorobligor until the Termination Date. Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s liability hereunder or the enforceability of this Article XISection 13.02 , and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.04.13.02(d) . (e)

Notwithstanding anything to the contrary in this Agreement or in any other Loan Document, and except as set forth in Section 11.0711.7, so long as the Obligations are outstanding, each Co-Borrower hereby expressly and irrevocably waives any and all rights at law or in equity to subrogation, reimbursement, exoneration, contribution, indemnification or set off and any and all defenses available to a surety, guarantor Parent or accommodation co-obligor. Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s liability hereunder or the enforceability of this Article XISection 11, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0411.4.

Notwithstanding anything to the contrary in this Agreement or in any other Loan Document, and except as set forth in Section 11.0712.7, each Co-Borrower hereby expressly and irrevocably waives any and all rights at law or in equity to subrogation, reimbursement, exoneration, contribution, indemnification or set off and any and all defenses available to a surety, guarantor or accommodation co-obligorobligor until the Obligations are indefeasibly paid in full in cash. Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s 's liability hereunder or the enforceability of this Article XISection 12, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0412.4.

Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s liability hereunder or the enforceability of this Article XI, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.04.

Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and the Lenders and shall not limit or otherwise affect such Co-Borrower’s 's liability hereunder or the enforceability of this Article XIARTICLE X, and that the Administrative Agent, the Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.04SECTION 10.04.

Each Co-Co- Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s 's liability hereunder or the enforceability of this Article XISection 16, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0416.4.

Notwithstanding anything to the contrary in this Agreement or in any other Loan Document, and except as set forth in Section 11.0712.7, each Co-Borrower 60 Senior Credit Agreement (Omni) hereby expressly and irrevocably waives any and all rights at law or in equity to subrogation, reimbursement, exoneration, contribution, indemnification or set off and any and all defenses available to a surety, guarantor or accommodation co-obligor. Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s liability hereunder or the enforceability of this Article XISection 12, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0412.4.

Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Revolving Lenders and shall not limit or otherwise affect such Co-Borrower’s 's liability hereunder or the enforceability of this Article XISection 13A, and that the Administrative Agent, Revolving Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0413A.4.

Notwithstanding anything to the contrary in this Agreement or in any other Loan Document, and except as set forth in Section 11.0713.02(g), each Co-Borrower hereby expressly and irrevocably waives any and all rights at law or in equity to subrogation, reimbursement, exoneration, contribution, indemnification or set off and any and all defenses available to a surety, guarantor or accommodation co-obligor. Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s liability hereunder or the enforceability of this Article XISection 13.02, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0413.02(d).

Each Co-Borrower acknowledges and agrees that this waiver is intended to benefit the Administrative Agent and Lenders and shall not limit or otherwise affect such Co-Borrower’s liability hereunder or the enforceability of this Article XISection 16, and that the Administrative Agent, Lenders and their respective successors and assigns are intended third party beneficiaries of the waivers and agreements set forth in this Section 11.0416.4.
