Warrant Agent’s Remuneration and Expenses. The Company covenants that it will pay to the Warrant Agent from time to time reasonable remuneration for its services hereunder and will pay or reimburse the Warrant Agent upon its request for all reasonable expenses, disbursements and advances incurred or made by the Warrant Agent in the administration or execution of the trusts hereby created (including the reasonable compensation and the disbursements of its counsel and all other advisers and assistants not regularly in its employ) both before any default hereunder and thereafter until all duties of the Warrant Agent hereunder shall be finally and fully performed, except any such expense, disbursement or advance as may arise out of or result from the Warrant Agent’s gross negligence, willful misconduct or bad faith. Any amount due under this Section 6.2 shall bear interest at a rate per annum equal to the current rate charged by the Warrant Agent from time to time from 30 days after the Warrant Agent shall have made a request for payment. This Section 6.2 shall survive the termination of this Agreement or the resignation or removal of the Warrant Agent.
